 TERMS AND CONDITIONS 

1 Introduction. 1.1 A platform of UNA Asset Management ("UAM" or "UAM Platform" or "UAM App") and/or the relevant Affiliates is provided to you an app-based link programs, without limitation, crypto asset, forex trading, online games, exchange-traded funds ("ETFs"), stocks, bonds and so forth ("the Financial Products and Services"). These terms and conditions ("these Terms") shall supersede and override all prior terms and conditions and agreements pertaining to your access of the UAM platform, if any. 1.2 These Terms together with any attached country annexes, product schedules, and/or addenda (together "Annexes"), if any, each of which Annexes may be updated from time to time independently of these Terms, will apply to your access of the UAM Platform. Please take the time to read and understand these Terms before using our Financial Products and Services so that you are aware of your legal rights and obligations. In the event of any conflict or inconsistency between these Terms and any Annexes, including, but not limited to, provisions related to governing law, arbitration and/or dispute resolution, these Terms shall prevail and control, except where an Annex expressly overrides these Terms with specific reference to this Clause 1.2. 1.3 UAM reserves the right to change or modify any of the Terms hereof or any policy governing the use of UAM Platform at any time and in our sole discretion. Any changes or modifications will be effective immediately upon posting of the revisions, and you waive any right you may have to receive specific notice of such changes or modifications. Your continued use of the UAM Platform following the posting of changes or modifications will confirm your acceptance of such changes or modifications. 1.4 Acceptance of these Terms. Your acceptance of these Terms occurs when you take the earliest of any of the following actions: (i) signing up for an account or any aspect, part, or component of the UAM; (ii) invest into the Financial Products and using the Services of UAM; (iii) accepting these Terms, or notice of these Terms, including in connection with any transaction with UAM; (iv) giving these Terms a written or electronic signature, clicking “I accept” or “I agree” to be bound as applicable; or (v) installing, using, updating, or otherwise interacting with UAM App. Upon taking any of the foregoing actions, you shall be deemed to have entered into a binding contract with us and shall be deemed to have expressly read, understood and agreed to be bound by these Terms. 1.5 Without limiting, abridging, or modifying the foregoing Acceptance of these Terms, by accessing the UAM App and using the Services and/or completing the sign-up process, you acknowledge that you are entering into a binding contract with us and shall be deemed to have expressly read, understood and agreed to be bound by these Terms. 1.6 Definitions and Interpretation. In these Terms :-"Applicable Law" means any law, rule, statute, subordinate legislation, regulation, by-law, order, ordinance, protocol, code, guideline, treaty, policy, notice, direction or judicial, arbitral, administrative, ministerial or departmental judgment, award, decree, treaty, directive, or other requirement or guideline published or in force at any time which applies to or is otherwise intended to govern or regulate any person (including all parties to these Terms), transaction, activity, event or other matter, including any rule, order, judgment, directive or other requirement or guideline issued by any governmental or regulatory authority; "Affiliate" means a person, entity or company directly or indirectly, controlling, controlled by or under direct or indirect common control with another person, entity or company; "Annex" or “Annexes” shall have the meaning ascribed to the term in Clause 1.2; "Clause" means each numbered provision or section of these Terms; "Enabled Device" means each communication, computing, or other device or account registered by you or otherwise used by you, regardless of whether you own such device, for use in connection with the UAM App, including but not limited to, your computer, mobile phone, email account, and phone number; "Financial Products and Services" means the products and services in variety as provided on app-based at UAM’s platform, without limitation, crypto asset, forex trading, online games, exchange-traded funds (“ETFs”), stocks, bonds and so forth with exceptional investment solutions tailored to meet the specific financial goals; "Force Majeure Event" means an event or failure which is beyond our reasonable control including, without limitation, (i) acts of God, nature (including without limitation, natural disasters, epidemics and pandemics), court or domestic or foreign governmental authorities; (ii) failure or interruption in public or private telecommunication networks, communication channels or information systems; (iii) acts or omissions of acts of a party for whom UAM are not responsible; (iv) delay, failure or interruption in, or unavailability of, third party services and sites; (v) strikes, lockouts, labor disputes, wars, civil unrest, terrorist acts, riots and Movement Control Order (MCO); (vi) viruses, malwares, other malicious computer codes or the hacking of any part of the UAM Asset Management; "Personal Data" means any information relating to an identified or identifiable natural person; an identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person; "Transaction History" means records of all transactions and any details relevant to such transactions on your Discretionary Account in UAM Platform and/or UAM App; "UAM" "UAM Platform" "UAM Platform" is the well-established platform that has been operating in the financial markets for many years and providing variety of investment products to public at-large, without limitation, crypto asset, online games, exchange-traded funds (“ETFs”), stocks, bonds and so forth with exceptional investment solutions tailored to meet the specific financial goals; "UAM App" means the mobile application software developed, owned and released by UAM platform and available for download for Enabled Devices, including all content and services listed in Clause 3 and made available on or through the same, and any and all updates, upgrades, supplements, releases and versions thereof; "you/your" may refer to an individual who is the User of the UAM Services and/or the Investors who are investing into the Financial Product and/or Services as provided by UAM Platform and/or any Affiliates. 1.7 Other Interpretation. In these Terms :- (a) reference to a statute or statutory provision includes a reference to it as from time to time amended, extended or re-enacted; (b) words denoting the singular number only include the plural and vice versa whereas words importing the masculine gender only shall include the feminine and vice versa and references to persons shall include corporations and vice versa; (c) unless the context otherwise requires, reference to a clause or schedule is to a clause of or schedule to this Agreement; (d) the headings in this Agreement are inserted merely for convenience of reference only and shall be ignored in the interpretation and construction of any of the provisions herein contained; and (e) where the warranties, representations, indemnities, agreements, covenants, terms, stipulations and undertakings expressed to be made by and on the part of or in favour of two or more persons, such warranties, representations, indemnities, agreements, covenants, terms, stipulations and undertakings shall be binding upon or for the benefit of such persons jointly and severally unless otherwise specified. 


2 Products and Services. The UAM is the interface that allows you to use and interact with the UAM’s Financial Products and Services. The UAM includes the Financial Products and Services as set forth in this Clause 2 subject to the terms and conditions as contained therein. Without limiting anything in these Terms, to the extent that you choose to use and/or invest these Financial Products and Services more fully set forth in “Addendum 2” that are available to you, you agree to be bound by these Terms specifically applicable to such Financial Products and Services as set forth in the applicable Addenda. The UAM’s platform shall specifically comprise the following Financial Products and Services, to the extent available or offered in your choices and jurisdictions :- 2.1 Crypto Asset Option Trading. This is the crypto asset-based financial contracts that the Investors and/or the Users use to predict future price increases or decreases of crypto asset in order to make profit. 2.2 Forex Exchange. This is referring to the global electronic marketplace for trading international currencies and currency derivatives; 2.3 Online Games. This is also known as virtual games or Internet games, is online versions tradition games. Online games enable the Investors and/or the Users to play it through the Internet; 2.4 Exchange-Traded Funds. ETFs are managed pooled investments made up of a diverse mix of assets such as stocks, bonds, and/or other assets that are traded on stock exchanges and can be bought and sold throughout the trading day; and 2.5 Other Financial Products and Services that may be provided from time to time at UAM’s sole and absolute discretion; 2.6 Any investment on the Financial Products and Services that will allow you to have a Discretionary Account with UAM on top-up basis; 2.7 Any incentive programs (including but not limited to any kind of rewards, cashbacks or referral programs) that may be launched or offered via the UAM App from time to time. The UAM Rewards Programs and Missions allow users who undertake certain activities within the UAM App to get rewarded with virtual incentives. Users may redeem those virtual incentives for opportunities and incentives that may be available from time to time; 2.8 Purchase and use of UAM’s cards generated through the UAM platform (“UAMCards”) to facilitate certain transactions with 

certain Participating Merchants and other Merchants on top-up basis. Terms specific to such virtual UAMCards are more fully set forth in “Addendum 1” and references therein; and 2.9 Any other financial products or services listed in the Annexes (if any) or shown on the UAM or our official communication channel from time to time. 

3 The UAM App. 3.1 Description of the UAM App. The UAM App gives you interactive access to your Discretionary Account and/or your UAM Electronic Wallet (“U Wallet”), including allowing you to perform one or more of the following actions :- (a) viewing details or information of the monies balance in your Discretionary Account and/or your U Wallet, including the Transaction History; (b) viewing the return on investment (“ROI”) of each Financial Product and Service; (c) associating with the other Investors and/or Users of UAM App; (d) receiving any latest news of the development, if any, from UAM; (e) notifying with any important news announced by UAM; (f) complaining to UAM Platform in relation to any problems you are faced while using the UAM App; (g) linking to and engaging in any other Merchant’s activities and services as appointed by UAM from time to time; and (h) having access to, without limitation to any key market indicators and real-time quotes, if any. 3.2 Grant of License to Use the UAM App (a) Subject to your continuing compliance with these Terms, UAM grants to you a limited, revocable, non-transferable, non-sublicensable, non-exclusive license to use the UAM App and access the UAM App insofar as owned by or licensed through us on your Enabled Device and only for your own purposes, on and subject to these Terms. All other rights not expressly granted to you are reserved. Some software components used in the UAM App may be offered under an open source or other license as UAM may notify to you, in which case your use of those components of the UAM App shall be governed by such license terms to the extent only of any inconsistency between these Terms and those license terms. (b) You acknowledge and agree that your use of the UAM App is at all times subject to and conditional upon your continued compliance with these Terms and all other applicable terms, and any failure to comply with these Terms and such other terms automatically results in the revocation of all licenses granted hereby. 3.3 You have the sole responsibility and shall be liable for the security and safe-keeping of your account number either of Discretionary Account, U Wallet and/or the Digital Account as well as any and all passwords, identification and other codes (“the Codes”) issued to you by UAM and/or any Affiliates or by any certification authority duly recognized by UAM for the purpose of enabling the you to access the UAM App at any times. 3.4 You have agreed that UAM may be entitled to rely on the digital signature and/or correct entry of the Codes in order to ascertain the correct person associated with UAM App is that of you and UAM may act on that assumption. The access to the UAM App and any use of UAM Platform shall be at your sole risk. 3.5 In utilizing the UAM App and/or the UAM Services, you have agreed not to do anything that will violate, infringe, prejudice or in any way affect UAM's, any Affiliates’ or any third party's intellectual property rights and shall take all necessary measures to preserve and protect these intellectual property rights. All intellectual property rights (whether by way of copyright or otherwise) in the information or reports available from or generated by UAM Platform or UAM App solely in and will remain the exclusive property of UAM. 3.6 You have agreed that the risk of accessing and use of UAM App and/or UAM Platform pursuant to these Terms and you undertake to keep UAM and the UAM’s personnel or agents indemnified against all loss incurred by UAM or any the UAM’s personnel or agents arising out of anything done or omitted pursuant to the access and use of UAM App and/or UAM Platform. It is your responsibility to obtain independent professional advice in respect of any information and/or reports obtained via the UAM Platform or UAM App, and to verify such information and/or reports. Neither UAM nor any UAM’s personnel or agents shall have any liability to you incurring any loss, damage, cost, expense or claim whatsoever and howsoever caused or arising, including but not limited to :- (a) any reliance by you on any information and/or reports which are incomplete, inaccurate, corrupted, non-sequential, untrue or out-of-date, notwithstanding that such information and/or reports may or may not have been customized for the use of the Investors and/or the Users; (b) the loss or unauthorized use of the Codes; or (c) the unauthorized use of or access to UAM Services; or (d) forgery of your digital signature; or (e) any delay, fault, failure or loss of access to, or unavailability of UAM App and/or UAM Platform for whatever reason, including the failures of third party providers; or (f) any delay, failure or omission in the execution of your instructions, inclusive but not limited to the need to verify instructions due to considerations of security; or (g) any non-performance, defective performance or late performance of UAM App and/or UAM Platform through any cause whatsoever, including errors due solely to malfunction of the UAM App or equipment, infrastructure or programs; or (h) any telecommunication or interconnection defects, faults or problems, system crashes, software errors or defects, sabotage or unlawful access; or (i) any failure, downtime, crash, breakdown or malfunction of or defects or glitches in the UAM App and/or UAM Platform. 3.7 In the use of the UAM App and/or UAM Platform, you shall not:- (a) reproduce, retransmit, disseminate, sell, distribute, publish, broadcast, circulate, exploit (whether for commercial benefit or otherwise) the information and/or reports obtained from or through the UAM App and/or UAM Platform in any manner whatsoever without the express written consent of UAM and shall not use the information for any wrongful or illegal purpose or in contravention of Applicable Laws; (b) make any additions, modifications, adjustments or alterations to, tamper any part or corrupt any information or services available on or through UAM App and/or UAM Platform; (c) permit any equipment or software to be linked to or communicate in any manner or be used in connection with any other service or system whereby any information and/or reports obtained from UAM may be accessed, used, stored or redistributed by or through such other equipment or software; and (d) use the facilities available under the UAM App and/or UAM Platform otherwise than as contemplated under these terms and conditions or such other directions which may be issued by UAM from time to time. 3.8 In providing UAM App and/or UAM Services to you, UAM may in its sole and absolute discretion, from time to time and without notice to you, to :- (a) amend, modify, suspend or terminate the operation of UAM App and/or UAM Platform; or (b) suspend or terminate your access to or use of the UAM App and/or UAM Platform; or (c) deactivate the Codes, and shall not be liable to the Investors for any loss which may be suffered by the Investors consequent upon any of the above actions. 3.9 Reservation of Rights. (a) UAM reserves the right, in sole discretion and without incurring any liability to you, to :- (i) update, change, remove, cancel, suspend, disable or restrict access to or discontinue the UAM App or change any features, component or content thereof, or to delist from the UAM App or otherwise cease to support any digital devices; or (ii) deactivate, suspend, cancel, decline any Discretionary Account and/or U Wallet wherein we truly believe that there are some acts and conduct against the Terms hereof; or (iii) reverse, cancel, claw back, change any terms or refuse to honor any rewards, bonuses or pay-out for any incentive programs regardless of your entitlement. (b) UAM reserves the right to suspend, restrict, and/or terminate your access to any or all of our Financial Products and Services, including without limitation :- (i) where UAM is required to do so by Applicable Law or any court or other adjudicating authority to which UAM are subject in any jurisdiction; or (ii) upon reasonable suspicion that you may be in breach of these Terms or are otherwise trying to circumvent these Terms or abusing any of UAM’s incentive schemes; or (iii) upon reasonable suspicion that a transaction is fraudulent or erroneous; or (iv) upon reasonable suspicion that your Discretionary Account and/or U Wallet have been compromised or being used in a fraudulent or unauthorized manner; or (v) upon reasonable suspicion of money laundering, terrorist financing, fraud or any other financial crime; upon reasonable suspicion that you are conducting any fraudulent or illegal activities; viz. Ponzi scheme, pyramid scheme or dark-net transactions; or (vi) where any of your account or you are subject to pending litigation, investigation, or government proceedings, including litigation that is brought or threatened against UAM App; or (vii) for any other reason which UAM reasonably deem it is appropriate to do so. (c) In the event UAM decide to suspend, restrict or terminate your access to UAM App in accordance with the provisions of this Clause 3.9 (b), UAM will provide you with notice of such termination of the access to UAM App. Suspensions, restrictions, or terminations from the use of services in UAM App will be reversed only as soon as practicable once the reasons for refusal no longer exist as determined in UAM’s sole discretion. UAM is under no obligation to execute any suspended, reversed, or terminated transactions at the same terms. Where not otherwise prohibited by any Applicable Laws, upon notice that UAM has decided to terminate your access to the UAM App, UAM will either hold or forfeit the balance monies in you Discretionary Account and/or U Wallet dependable on the investigation ensuing thereafter with the period of sixty (60) days. UAM shall at all the material time at UAM’s sole discretion as think fit to decide to hold, forfeit or to release such 

balance to you at any reasonable time. (d) Should the decision made by UAM release to you the balance monies of the Discretionary Account and/or U Wallet, UAM reserves the right to determine the transference channel, mode of payment and/or the type of currency, without limitation the electronic currency, as UAM may deem fit from time to time that may subject to any charges on such third-party’s payment gateways. (e) The actions UAM may take under Clause 3 shall apply to you as Users or Investors of the UAM App. UAM do not guarantee that any specific content, component and/or feature will always be available on the UAM App and reserve the rights to cease UAM App at UAM’s sole discretion without further notice to you. 

4 Considerations When Using UAM Platform. You have understood, accepted, and agreed to assume all of the various risks involved in using, holding, trading, delivering, transacting, and transferring your monies in Discretionary Account and/or U Wallet when access to UAM App for Financial Products and Services, including all of the risks as set forth in this Clause 4. 4.1 General Risks. (a) Fund Management Risk – This refers to UAM’s daily management of the Investment Fund (“the Fund”) which will impact the performance of the Fund, without limitation, UAM investment decisions as a result of an incorrect view of the market or any non-compliance with internal policies, investment mandate, the Deed, relevant law or guidelines due to factors such as human error, fraud, dishonesty or weaknesses in operational process and systems, may adversely affect the performance of the Fund. (b) Inflation Risk – This is the risk that your investment in the Fund may not grow or generate income at a rate that keeps pace with inflation. This would reduce your purchasing power even though the value of the investment in monetary terms has increased. (c) Financing Risk – This risk occurs when you take a financing to finance your investment. The inherent risk of investing with financed money includes you being unable to service the financing payments. In the event certain securities are used as collateral, you may be required to top-up your repayment sum if the value of the securities fall below a certain level due to market conditions. Failing which, the securities may be sold at a lower price towards settling the financing. (d) UAM Operational Risk – This risk refers to the possibility of a breakdown in UAM internal controls and policies. The breakdown may be a result of human error, mis-communications, power loss, system failure or fraud where UAM’s employees collude with one another. This risk may cause monetary loss and/or inconvenience to you. We will regularly review UAM’s internal policies and system capability to mitigate this risk. Additionally, we maintain a strict segregation of duties to mitigate instances of fraudulent practices amongst UAM’s employees. (e) Liquidity Risk - Liquidity risk refers to two scenarios. The first is where an Investment Products cannot be sold due to unavailability of a buyer for that investment. The second scenario exists where the investment, by its nature, is thinly traded. This will have the effect of causing the investment to be sold below its fair value which would adversely affect the performance of ROI. (f) Currency Risk – As the investments of the Fund may be denominated in currencies other than the Base Currency, any fluctuation in the exchange rate between the Base Currency and the currencies in which the investments are denominated may have an impact on the value of these investments. You should note that any gains or losses arising from the fluctuation in the exchange rate may further increase or decrease the returns of the investment. (g) Country Risk – Investments of the Fund in any countries may be affected by changes in the economic and political climate, restriction on currency repatriation or other developments in the law or regulations of the countries in which the Fund invests in. For example, the deteriorating economic condition of such countries may adversely affect the value of the investments undertaken by the Fund in those affected countries of which are not protected by any government-backed depositor compensation, insurance or guarantee scheme, unless otherwise expressly stated. (h) Regulatory Risks – UAM are subject to an extensive and highly-evolving regulatory landscape, and any changes to any laws and regulations could adversely impact UAM ability to offer, and your use of and access to, the UAM Platform in your jurisdiction. Further, such changes could also impact your legal obligations with respect to your access of the UAM App. In addition to existing laws and regulations, various governmental and regulatory bodies in each country may adopt new laws and regulations. The extent, scope, and effect of such new laws and regulations are difficult to predict. 4.2 Specific Risks. (a) Digital Asset Volatility Risks – The price of crypto assets and crypto asset markets have historically been subject to significant volatility. The price and trading volume of any crypto asset is subject to significant uncertainty and volatility, depending on a number of factors, including but not limited to market conditions and sentiment, changes in liquidity, the activities of other market participants, general economic environment, public perception, technical and technological constraints, and regulation. There is no assurance that any supported Digital Asset will maintain its value or that there will be meaningful levels of trading activities. (b) Technology And Security Risks – A significant disruption in UAM’s Products and Services, in UAM’s information technology systems (including a system failure, outage, or interruption, both as to UAM or a third-party network), or in any of the blockchain networks that UAM supports, could affect you as User or Investor experience and/or ability to access your Discretionary Account and/or U Wallet. (c) Cyberattacks Risks – You acknowledge and understand that there is risk associated with third-party cyberattacks and security breaches, as the well as breaches of privacy without limitation, cybersecurity incidents, break-ins, computer viruses, denial-of-service attacks, sabotage, acts of vandalism, privacy breaches, service terminations, disruptions, interruptions, and other misconduct. You acknowledge that you and your Discretionary Account and/or U Wallet may be subject to scams and other types of fraud perpetrated by third parties outside of UAM’s control. It is your responsibility to beware and protect yourself against such fraud. There is a risk of loss of your monies in your Discretionary Account, U Wallet and other accounts in the event you are subject to such fraud. (d) Loss of Personal Data Risk – All blockchain transactions include data, and in some circumstances, may include personal data about you. Many blockchain technologies store transaction data publicly and permanently. When you use such technology, you are intentionally making that transaction data public and acknowledge that the data cannot be deleted, removed, or reversed due to the nature of blockchain technology. (e) Third-Party Operational Risks – UAM currently rely on third-party service providers for certain aspects of UAM operations, including payment processors, and payment gateways to process transactions; cloud computing services and data centers that provide facilities, infrastructure, the website functionality and access, components, and services, including databases and data center facilities and cloud computing; as the well as third parties that provide certain outsourced services and functions, all of which are critical to UAM operations. Because UAM rely on third parties to provide these services and to facilitate certain of UAM investment activities, UAM faces increased operational risks. Any interruptions in services provided by these third parties may impair UAM ability to support you in UAM Platform. (f) Force Majeure Risks – UAM is not liable for any loss where such failure is occasioned by any cause beyond its reasonable control including but without limiting to the generality by its failure to perform or for any other cause whatsoever including warm insurrection, fire, flood, earthquake, strikes, riot, civil commotion, Movement Control Order (MCO), the unavailability or raw materials, delays in transport, break-downs in machinery, refurbishment of the location restriction or prohibitions or other location restriction or prohibitions or other action by any government or semi-government authorities or embargoes. 

5 User Acknowledgements, Representations, Warranties, Covenants – General. By signing up to use the UAM App, you acknowledge, represent, and warrant, in each case as applicable, each of the items contained in this Clause 5 and all of its subsections. 5.1 Acknowledgement and Assumption of Risks. You represent and warrant that you have carefully read, understand, accept, and agree to assume all of the various risks involved in using, holding, trading, delivering, transacting, and transferring the monies in Discretionary Account and/or U Wallet or any other account while accessing and using UAM App, including but not limited to the risks specifically set forth in Clause 4. You agree that UAM shall not be liable to you for any loss, damage, expense, or liability that may relate to any of the risks specifically set forth in Clause 4. Further, you represent that you are able to bear any financial or other loss associated with or that may otherwise relate to your use of UAM App. 5.2 Non-Reliance. (a) You represent that you are not relying on any written or oral communication of UAM as advice or as a recommendation to engage in any transaction involving the investment on UAM Platform. Furthermore, you confirm that UAM has not (a) given any guarantee or representation as to the potential success, return, effect, or benefit (either legal, regulatory, tax, financial, accounting, or otherwise) of investment in UAM Financial Products and Services; or (b) made any representation to you regarding the legality of investment in UAM Financial Products and Services under Applicable Laws. In deciding to use UAM Platform to invest in UAM Financial Products and Services, you are not relying on the advice or recommendations of UAM, and you have made your own independent decision that using UAM App and investment in UAM Financial Products and Services are suitable and appropriate for you. (b) UAM do not provide 

investment advice, and any content on the UAM App and site or other communication channels should not be considered as a substitute for tailored investment advice. The contents of the UAM App and site should not be used as a basis for making investment decisions and should not be construed as an attempt to market or promote any type of the investment in UAM Financial Products and Service. 5.3 Identity and Eligibility. You represent and warrant that :- (a) you are at least twenty-one (21) years of age; (b) you have the full right, power, and authority to agree to these Terms; (c) you are not in any way have any relevant connection with any jurisdiction that UAM has indicated as being subject to prohibitions or restrictions on accessing the UAM App; (d) you are not in any way have any relevant connection with, any jurisdiction in which entry into or performing your obligations under these Terms or the investment of the UAM Products and Services is unlawful or restricted or requires licensing, registration or approval of any kind; (e) you are the authorized user of your Enabled Device, and your Enabled Device is not jailbroken, meaning that you have not, nor are you aware of anyone having, used an exploit to remove manufacturer or carrier restrictions from the relevant device; (f) you will not simultaneously have multiple accounts to access the UAM App; (g) you are not impersonating any other person, operating under an alias or otherwise concealing your identity; (h) you will immediately notify us of any latest change of your personal particulars and continually review and update your account and or user profile to ensure accuracy of the information provided; (i) you will not use UAM Platform or Services if any Applicable Laws prohibit you from doing so in accordance with these Terms; (j) you are the sole ultimate owner of your Discretionary Account and/or U Wallet and not acting on behalf of representing any other natural person, legal person or legal entity; (k) you are the beneficial owner of (acting as trustee) any Discretionary Account and/or U Wallet subject to these Terms and forming the subject matter of UAM Services; and (l) you are compliant with all Applicable Law requirements to which you are subject, including without limitation, all tax laws and regulations, exchange control requirements and registration requirements. 5.4 Onboarding and Ongoing Basic Requirements. (a) In order to use and access to UAM Platform, you must register as a user on the UAM App and provide UAM with all information and/or documents, if any, requested by UAM. Except where permitted by Applicable Law, all information and documents must be in the English language and other language, as permitted by UAM in order to process your registration. If not, you may be required to provide a certified English translation. UAM shall not be responsible for the translation of any non-English documents and shall not be obliged to process or review any documents that are not in the English language. (b) You agree to cooperate with all requests made by UAM or any of our third-party service providers on UAM behalf in connection with your use of the UAM App, including to identify or authenticate your identity, validate your funding sources or transactions, verify your sources of income and/or the wealth, among other requests, if any. This may include, without limiting the generality of the foregoing, requiring further information that will allow UAM to reasonably identify you, including requiring you to take steps to confirm ownership of your phone number or payment instruments or verifying your information against third-party databases or through other sources. (c) UAM is entitled, in our sole discretion and without providing reasons, to refuse your application for, or to suspend, terminate or limit your use of, the UAM App or your Discretionary Account and/or U Wallet, and/or to change the eligibility criteria for registration or use of the UAM App at any time. UAM may confidentially verify, supplement, or append the information you provide us with or obtain information on you ourselves or through third parties from secure databases. By agreeing to these Terms, you acknowledge that UAM or a third party on our behalf may verify, supplement, or amend your information for any reason including for the up-to-date maintenance of UAM records or to comply with applicable reporting obligations. (d) You hereby represent and warrant that any and all information provided by you or on your behalf to UAM, the Affiliates, and any of our third-party service providers are always complete, accurate, and up to date in all respects and that in the event such information ceases to be complete, accurate, and up-to-date, you shall provide to UAM, the Affiliates, and third-party service providers with revised and updated information without delay. It is your responsibility to update UAM with any changes in your personal information or any other information you may have provided to UAM with during registration or else in the course of your engagement with the UAM Platform. If at any time UAM believe that your information is incomplete, outdated, or inaccurate, UAM may contact you and request further information or request that you go through the verification process again. Failure to complete any step of the registration process or provide up to date information may result in your inability to or adversely affect your access to and use of the UAM App. You hereby agree to indemnify UAM and the Affiliates for any and all losses incurred as a result of your failure to provide complete, accurate, and up-to-date information at any point prior to, during, and following termination of your use of and access to our UAM App and Services. (e) At the time you sign up for the UAM App or at any time in the future after signing up for the UAM App, you have authorized UAM to undertake electronic identity verification checks on you, either directly or using third-party service providers. (f) Notwithstanding these Terms hereunder or your successful completion of the signing up process in accordance with Clause 5.4 herein, certain types of the Investors or Users are specifically prohibited from using certain features within the UAM App. You further represent and warrant that in relation to the use of UAM App or the UAM Platform, you are not located in, under the jurisdiction of, or a national or resident of any of the countries, states, and jurisdictions that are not allowed you to use or access to UAM App or the UAM Platform. (g) Subject to Applicable Law, UAM reserves the right at any time to satisfy our internal requirement as to your Personal Data including for the purposes of preventing fraud and/or anti-money laundering and counter-terrorist financing purposes. 5.5 Third-Party Services. You understand and agree that UAM may engage any third-party service provider or subcontractor to perform any or all of the services provided hereunder. Further, you acknowledge, accept, and assume the risks associated with UAM’s use of such third-party services, including those set forth in Clause 4.2(e). UAM shall not be liable for any delay, loss, or damage of any kind incurred from any services provided by any third-party service provider or subcontractor engaged by UAM. All claims in connection with the act of any third-party service provider or subcontractor shall be brought solely and directly against such party and/or its agents. UAM’s sole liability in relation to the services provided by any third-party service provider or subcontractor shall be limited to the use of reasonable care in the selection of such parties. 

6 User Acknowledgements, Representations, Warranties, Covenants – User Conduct. 6.1 General Conduct. It is UAM’s goal that all Investors and/or Users enjoy their use of UAM Services in a safe and secure environment. To that end, you agree to use the UAM Platform and UAM App in good faith and adhere to the following general standards of conduct at all times :- (a) you will demonstrate respect and courtesy to other Investors or Users, UAM’s personnel, and any third- party service providers at all times; (b) you will use your utmost integrity in all your dealings with UAM and in your use of UAM App; (c) you will comply with all Applicable Laws pertaining to your use of UAM Services and the activities you conduct in the UAM App; and (d) you will promptly comply with our notices and our personnel’s instructions with respect to your use of UAM App. 6.2 Prohibited Activities. Without prejudice to any of UAM’s rights, you undertake not to (and shall not, knowingly or otherwise, authorize, allow, permit, or assist any other party to) :- (a) use the UAM App or Platform to conduct electronic spamming or otherwise distribute any unsolicited or unauthorized advertising, promotional, or marketing material, junk mail, or chain letters; or (b) use the UAM App or Platform to perform illegal, unlawful or immoral activities under any Applicable Law (viz; money laundering, terrorism financing and fraudulent activities); or (c) use the UAM App or Platform to upload content that contains or is infected with viruses, malicious codes, or Trojan horses, is unlawful, immoral, or illegal, or contains any other harmful or deleterious program or code; or (d) modify or adapt the whole or any part of the UAM App or Platform or combine or incorporate the UAM App or Platform into another program or application; or (e) disassemble, decompile, reverse-engineer, or otherwise attempt to derive the source code, object code, underlying concepts, ideas, or algorithms of the UAM App or Platform or any components thereof; or (f) use the UAM App or Platform in any manner that would lead to the infringement of UAM, the Affiliates’, or any other third party’s intellectual property rights, including without limitation any copyright, patent, or trademark. You undertake not to take or attempt to take any action or claim ownership of any property that infringes or would infringe upon our intellectual property interests; or (g) use the UAM App or Platform in a way that could damage, disable, impair, or compromise the UAM App or Platform or the provision of UAM (the systems or security of the UAM App or Platform or any other computer systems or devices used in connection therewith) or interfere with other users or affect the reputation of UAM; or (h) gain or attempt to gain unauthorized access to, interfere with, disrupt, or damage the Discretionary Account and/or U Wallet of other users, any 

parts of the UAM App or Platform, the server on which the UAM App or Platform are stored, or any other server, computer, or database connected to or used in the service of the UAM App or Platform; or (i) take any action that imposes an unreasonable or disproportionately large burden or load on the UAM infrastructure (including, but without limitation to our servers, networks, data centers and related or like equipment) and detrimentally interfere with, intercept or expropriate any system, data, or information belonging to other Users or Investors of UAM Services; or (j) attack the UAM App or Platform via a denial-of-service attack or a distributed denial- of-service attack; or (k) use any robot, spider, or other automatic device, process, or means to access the UAM App or Platform for any purpose; or (l) impersonate or attempt to impersonate UAM, UAM personnel, another user, or any other person or entity; or (m) engage in any other activities deemed inappropriate by UAM or that is in contravention of these Terms or any Applicable Laws; or (n) provide false, inaccurate, incomplete or misleading information to UAM or any of its Affiliates or third-party service providers; or (o) deposit with UAM, directly or indirectly, derived from or form part of the proceeds of any criminal, fraudulent, or unlawful activity; or (p) attempt, in any manner, directly or indirectly, as deemed in our sole discretion, to interfere with the proper working of the UAM App or Platform. 6.3 UAM’s Rights of Enforcement. Subject to Applicable Law, UAM reserves the right to, and you acknowledge and agree that UAM may at our sole discretion, take any action as UAM deem necessary to enforce the Investors and/or Users conduct requirements and restrictions set forth in this Clause 6. 

7 User Acknowledgements, Representations, Warranties, Covenants – Data and System Protection. 7.1 Your Device. You acknowledge and agree that, in connection with your use of the UAM App, you shall be responsible for the following, at your own costs and expenses :- (a) obtaining and installing all hardware, software, and communications services necessary for your use of the UAM App in accordance with these Terms; (b) installing antivirus or other mobile security software on your Enabled Device to protect against any security or other vulnerabilities which may arise in connection with your use of the UAM App in accordance with these Terms; and (c) installing updates and patches for the UAM App and your Enabled Device in a prompt and timely manner. 7.2 You acknowledge and agree, without prejudice to the foregoing and any other terms in these Terms, that UAM shall assume that any and all instructions and/or message received from your Enabled Device, your email account, and other accounts identified to you have been made by the rightful owner. You agree that you are solely responsible and liable for keeping your Enabled Device and such accounts safe and secure and for maintaining adequate security and control of your login and authentication details (including, but not limited to, your identity, username, password, and multifactor authentication methods) and shall likewise be solely responsible for any access to and use of the UAM App and the Services through your Enabled Device and accounts identified to you, notwithstanding that such access and/or use may have been effected without your knowledge, authority or consent. You agree that UAM will not be liable to you for any loss or damage resulting from such access and/or use. 7.3 You acknowledge and agree, without prejudice to the foregoing and any other terms in these Terms, that you shall bear all of the risk of any loss of access to your Discretionary Account and/or U Wallet or any accounts maintain at UAM Platform, including, without limitation, any loss of access related to the loss of your login and authentication details, Enabled Device, email account, or any other account identified to you. 7.4 Should you discover that your Enabled Device is lost or stolen or has been accessed or used in an unauthorized way, you shall notify us of the loss or theft, or unauthorized access or use, by contact UAM Customer Services Centre (“UCSC”) at live chat as provided in UAM App; provided, however, that such notification to UCSC shall not prejudice UAM in any way nor abridge, alter, limit, or otherwise affect UAM’s disclaimers and rights under Clause 7.2. In addition, where your Enabled Device has been accessed or used in an unauthorized manner, you should, as soon as possible, reset the login and authentication details on your Enabled Device. 7.5 Privacy and Personal Data. (a) The Terms incorporate by reference, as though they were fully restated herein, the provisions of the following terms and policies: (i) UAM privacy notices, accessible at UAM App, as it may be amended from time to time, and (ii) UAM investment policy accessible at Addendum 2 in these Terms, as it may be amended from time to time. (b) By using the UAM App and/or Platform, you confirm that you have read and understood these Terms and understand how UAM may collect, use, disclose and share amongst ourselves your Personal Data (“Personal Data”) and disclose such Personal Data to our authorized service providers and relevant third parties. You agree that your license to access the UAM App is subject to your continuing agreement with UAM. (c) Without limiting anything in these Terms, you warrant, acknowledge, and agree that :- (i) UAM may process Personal Data relating to you and Personal Data relating to third parties when you provide Personal Data to UAM that relates to such individuals; (ii) before disclosing any Personal Data to UAM, you have read and understood these Terms, and before disclosing the Personal Data of third parties, you have provided these Terms to the third parties and obtained their consent hereto; (iii) any Personal Data that you disclose in connection with our UAM Platform, the UAM App, or other Services was or will be disclosed in accordance with all applicable privacy and data protection laws, and that all such data are current, accurate and relevant; and (iv) where you access or use third-party services, you have read, understood and agreed to these Terms and other terms applicable to those services, and the processing of any Personal Data in connection therewith, by UAM and the applicable third party. 

8 User Acknowledgements, Representation, Warranties, Covenants – Electronic Communications. 8.1 You shall accept full responsibility for the security and authenticity of all instructions and/or notice sent via the UAM App and you shall be bound by all such instructions and/or notices. UAM shall be entitled to assume that all instructions and/or notices received from your Enabled Device via the UAM App are yours. UAM shall be under no obligation whatsoever to verify that such instructions and/or notices are in fact yours. 8.2 You are aware that instructions, notices and/or information transmitted via the UAM App are generally transmitted via the internet and may be routed via public, transnational installations which are not specifically protected. UAM cannot guarantee that the instructions, notices and/or information so transmitted will in fact be completely protected against such unauthorized access, and you accept these associated risks. 8.3 Any instructions and/or notices sent by you to UCSC shall only be deemed to be received by UAM when UAM have successfully retrieved such instructions and/or notices from the relevant system and duly informed you of such receipt. In addition, any instructions and/or notices sent by you to any third parties (e.g. Merchants) shall only be deemed to have been received by such third parties in accordance with their terms and conditions. 8.4 You agree without prejudice to any of these Terms, that, to the extent there are any terms in your local jurisdiction governing the time and place of dispatch and receipt of electronic communication, to the maximum extent permitted under applicable law, such terms shall not apply to your use of the UAM App and that you shall be liable for any damage that may be caused through the use of the internet – i.e. through loss, delay, misunderstandings, corrupted texts, unauthorized interceptions by third parties or duplicates. 8.5 You acknowledge and agree that in the event of any dispute arising in connection with your use of the UAM App, UAM records (including electronic, computer and cloud stored records) of all matters relating to your use of the UAM App and/or of you (including Transaction History) at any specified date shall be conclusive of their accuracy and authenticity and shall be binding on you for all purposes whatsoever. In addition, you agree to the admissibility of such documents without further requirement of proof of authenticity or accuracy in a court of law under applicable evidentiary law, rules and/or regulations. 

9 Fees. 9.1 Your use of the UAM Platform may be subject to certain handling or management fee, which will, if applicable and to the extent permitted in your jurisdiction, be debited from your Discretionary Account and/or U Wallet. These fees charged may be amended by UAM from time to time. 9.2 All applicable fees listed on the UAM App and UAM Platform are exclusive of any applicable Taxes and the actual fee charged will be increased to account for any such applicable taxes. 9.3 UAM will issue a payment notice to you for any applicable fees or amount that debited from your Discretionary Account or U Wallet, including any amount owed to UAM as a result of UAM exercising the rights under these Terms. If such amount is not repaid within three (3) calendar days from the date of notification, you confirm and authorize UAM to recover such amount from your Discretionary Account or U Wallet or other accounts with UAM by debiting any balance in those accounts or otherwise setting off against amounts owed to you. 

10 Other Provisions Applicable to UAM Services. 10.1 UAM reserves the right to, in its sole discretion, refuse to process or to cancel any pending request from you for any amount of cash transference and/or any investment transactions including for purposes of compliance with Applicable Law. 10.2 UAM securely stores one hundred per centum (100%) of all digital private keys in UAM’s control in a combination of 

online and offline storage. As a result, it may be necessary for UAM to retrieve this information from offline storage in order to facilitate any transactions in accordance with your instructions, which may delay the initiation or crediting of such transaction for forty-eight (48) hours or more. As a user of the UAM App, you accept the risk that any transactions facilitated by UAM may be delayed and you agree not to hold UAM responsible for any loss or damage (including loss of profits) arising out of or related to such delay. 10.3 It is your sole responsibility to determine whether, and to what extent, any taxes apply to any transactions associated with your receipt or transfer of any monies in your Discretionary Account or U Wallet, and/or to the transactions you conduct, and to withhold, collect, report and remit the correct amounts of taxes to the appropriate tax authorities. Your Transaction History is available through the UAM App. UAM are not obligated to, nor will UAM determine whether, and to what extent, taxes apply, or calculate, collect, report, or remit any taxes to any tax authority arising from any transaction. 10.4 The loading or top-up the balance of your Discretionary Account and/or U Wallet for any transactions are subject to limits imposed by UAM (as may be amended with or without notice from time to time in UAM's sole discretion). Such limits are set out in the UAM App but UAM may, in its sole discretion, apply different limits to you specifically. UAM may also require you to submit additional information about yourself (including any person associated with you and your activities), provide records of, and arrange for meetings with UAM personnel to discuss your loading or top-up the balance of your Discretionary Account or U Wallet for any transactions you have effected. 10.5 Fees and account balances in the UAM App are not rounded, however, they may be displayed to you as rounded up or down to the nearest four decimal places. 10.6 Title. (a) Except as otherwise specifically provided in these Terms, as between you and UAM, title to the monies in your Discretionary Account or U Wallet shall at all times remain with you and shall not transfer to UAM. All such monies are held for your benefit, are not property of UAM, and are not subject to claims of UAM’s creditors. As owner of such monies, you shall bear all risk of loss of such monies as set forth in this Agreement. Except as required by law, or except as provided herein, UAM will not sell, transfer, loan, hypothecate, or otherwise alienate such monies unless instructed by you or except as required by Applicable Law. Notwithstanding the foregoing and anything to the contrary in this Agreement, all such monies are subject to UAM’s recovery rights as set forth in these Terms. Further, you acknowledge that, for the purposes of these Terms, Discretionary Account or U Wallet of like kind are considered to be fungible monies, and your title to the monies in your Discretionary Account or U Wallet gives you ownership rights in the corresponding amount of each kind of monies in your Discretionary Account or U Wallet but not necessarily in a specifically-identified or specifically-identifiable token or other representation of such monies. (b) UAM does not make any representation as to the likely treatment of the monies in your Discretionary Account or U Wallet in the event that you, UAM, or any third-party custodial service UAM may use becomes subject to an insolvency proceeding in any other jurisdiction. You explicitly understand and acknowledge that the treatment of such monies in the event of such an insolvency proceeding is unsettled, not guaranteed, and may result in a number of outcomes that are impossible to predict, including but not limited to the total loss of any and all such monies. 

11 Intellectual Property. 11.1 Intellectual Property Ownership and Use. You acknowledge and agree that :- (a) the UAM’s trademarks and logos, and any other logos, service marks, product names, and other proprietary indicia used in the UAM App, are the property of either UAM or third party licensors (collectively, the “Trademarks”); (b) the intellectual property rights in and to the UAM and/or the UAM App are either owned by UAM or licensed to UAM by third-party licensors, and, as between you and UAM, UAM are and will remain the sole and exclusive owner of all right, title, and interest in and to the UAM, the UAM App, and all intellectual property related thereto; (c) other than the license expressly granted by you in these Terms, no other rights are granted to you in respect of either the Trademarks, the UAM App, or the UAM platform; and (d) no part or parts of the UAM App may be reproduced, distributed, republished, displayed, broadcast, hyperlinked, transmitted, adapted, modified to create derivative works, or otherwise used or commercially exploited in any manner or by any means or stored in an information retrieval system without UAM prior written permission. 11.2 Limited License to Use Personal Data. Subject to these Terms, you hereby grant UAM a limited, royalty-free, fully paid up, non-exclusive, transferable, and sublicensable license to process your Personal Data as necessary to provide UAM Services for your benefit as provided in these Terms. 

12 Limitation of Services / Termination / Account Closure / Security. 12.1 UAM may at any time, and without liability to you, terminate, suspend, or limit your use of the UAM Platform and/or access to UAM App (including freezing the monies in your Discretionary Account or U Wallet, or closing your Discretionary Account or U Wallet, refusing to process any transaction, or wholly or partially reversing, cancelling, or voiding any transactions that have been effected) for any reason, including : (a) in the event of any breach by you of these Terms or applicable Annex and all other applicable terms; (b) for the purposes of complying with Applicable Laws; (c) where UAM suspects that a transaction effected by you is potentially connected to any unlawful activities (including but not limited to money laundering, terrorism financing and fraudulent activities); (d) to remedy the effects of any defect in or compromise to any information system upon which UAM relies on; (e) as may be informed by its internal monitoring policy and the profile of spending reasonably anticipated for the type of consumer group you belong to; or (f) in UAM's absolute opinion that an order or transaction has been executed based on an aberrant or erroneous value. 12.2 Such suspension, limitation, or termination described herein shall not abridge, suspend, terminate, or otherwise affect your obligations under these Terms and your obligations under these Terms will continue in the event of such suspension or termination described in Clause 12.1 above. 12.3 You shall not be entitled to any payment, compensation, or damages from UAM in relation to any suspension, reversal, or termination of your use of the UAM Platform and/or UAM App for any reason whatsoever. Any limitation, suspension, or termination of your use of the UAM Platform and/or UAM App for any reason whatsoever shall not release you from any liability or responsibility on your part that at the time of such limitation, suspension, or termination has already accrued. 12.4 UAM’s rights of limitation, suspension, and termination under these Terms shall be without prejudice to any other rights or remedies which UAM may have (whether under these Terms, Applicable Law or otherwise). 12.5 If you wish to suspend or terminate your access to and use of any of the UAM Platform and/or UAM App or close your account, you are required to submit a request to UCSC in such manner and form and accompanied by such information and supporting documentation as may be required by UCSC to request for and effect such suspension or termination. You acknowledge and agree that you will be subject to such terms and conditions as USCS may consider applicable to such suspension or termination. 12.6 If, at the time of the submission of your account closure request, your account has any outstanding or ongoing obligations, commitments, or activities, including but not limited to any amount due to UAM, you agree that UAM shall not be obliged to process such closure request until all such obligations, activities, or commitments have been discharged or expired. 12.7 If you have a remaining balance in your account which has been suspended or closed, you are entitled to recover such monies from your Discretionary Account or U Wallet unless UAM is prohibited by law or a court order to release such monies, respectively, or where UAM has reasonable grounds to suspect that such monies were obtained through fraud or any unlawful means or connected with any criminal activities. 12.8 To secure the due and punctual fulfillment and payment of all of your obligations to UAM hereunder and/or under other agreements between you and UAM and all other monies from time to time owing by you to UAM, you hereby assign, convey, transfer, set over, grant a continuing security interest in, and pledge, to and in favor of UAM and its successors and assigns, your interests in the monies held in your Discretionary Account or U Wallet as security (the “Security”). UAM may at any time and without notice to you (i) set off any amount that you owe UAM; or (ii) recover and set off from the Security any amount you owe UAM (in either case, whether or not the obligation is matured or contingent and irrespective of the currency, asset or place of payment). These rights are in addition to other rights UAM may have to take, transfer, or charge from any monies or balance in your Discretionary Account or U Wallet for obligations you owe to UAM. 

13 Feedback, Queries, Complaints. If you have any feedback, questions or complaints, please contact USCS through live chat as available on the UAM App. While UAM strive to respond to you as soon as possible, for more complicated issues, it may take us up to thirty (30) days or longer to resolve and get back to you. You accept and agree that UAM shall not be responsible for any loss and damage incurred during such period. 

14 Disclaimer of Warranty; Limitation of Liability. 14.1 The Financial Products and Services are provided “as is” and “as available” and 

without any representation or warranty, whether express, implied, or statutory. Except as expressly provided in these Terms, to the fullest extent permitted by law, UAM disclaims all other representations or warranties, express or implied, made to you, your affiliates or any other person, including without limitation, any warranties regarding title, non-infringement, timeliness, quality, suitability, merchantability, fitness for a particular purpose, or otherwise (regardless of any course of dealing, custom, or usage of trade) of any Financial Products and Services provided incidental to the UAM provided under these Terms. Additionally, UAM does not represent or warrant that the Financial Products and Services are accurate, complete, reliable, current, or error-free. While UAM attempts to make your use of the UAM Platform and/or UAM App or UAM Services safe, UAM cannot and do not represent or warrant that the UAM Platform and/or UAM App are free of viruses or other harmful components. Our liability in respect of representations and warranties that cannot be excluded is limited, at our option, to any one of :- (a) re-supplying, replacing, or repairing the UAM Platform and/or UAM App; or (b) paying the cost of the re-supplying, replacement, or repairing of the UAM Platform and/or UAM App. 14.2 Notwithstanding anything in these Terms to the contrary, to the extent permitted by law, in no event shall UAM or any of UAM’s representatives be liable to you for any losses or damage or claims :- (a) due to an unusual or unforeseeable event, outside our reasonable control and the consequences of which could not have been avoided even if all due care had been exercised (including, but not limited to, force majeure events); (b) arising from or in connection with :- (i) any interruption, delay, suspension, discontinuance, or failure of the UAM App; (ii) any refusal to process or authorize, or any reversal of, any transaction for any reason; (iii) your inability to effect or complete any transaction due to system maintenance or breakdown / non-availability of the UAM App, network, our hardware, or software or that of any third parties; (iv) use of your enabled device and the UAM App by third parties, whether authorized or unauthorized by you; any theft or loss of your enabled device; or (v) any unauthorized or ineligible use of the UAM platform contrary to these Terms; (c) due to compliance with Applicable Laws and/or court orders; (d) arising out of or in connection with these Terms, an Annex, or the UAM Services for lost profits, lost revenues, lost business opportunities, lost data, other intangible losses, punitive, exemplary, special, incidental, indirect, or consequential damages, each of which is hereby excluded by agreement of the Parties to these Terms, regardless of whether such damages were direct or indirect, foreseeable or unforeseeable, or whether our or our representatives have been advised of the possibility of such damages; and (e) resulting from hacking, tampering, virus transmission, or other unauthorized access or use of the services, your account, or any information contained therein. 14.3 UAM shall not be liable for fault on the part of any third-party service providers instructed by UAM. In such cases, UAM’s liability shall be limited to using reasonable care in the selection, appointment, and instruction of such third-party service providers. 14.4 Nothing in these Terms shall operate to limit or exclude any liability for fraud, gross negligence, or for death or personal injury resulting from negligence. 14.5 As set forth more fully in Clause 16 below, the Parties agree that any claims against the other under these Terms may only be brought on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding. No Arbitrator may consolidate or join more than one person’s or party’s claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding. Any relief awarded to any user of the UAM Platform and/or UAM Apps cannot and may not affect any other users. 

15 Indemnification. 15.1 You agree to indemnify and hold UAM and its third-party service providers, each of their respective Affiliates, and each of the foregoing parties’ respective shareholders, members, managers, officers, directors, agents, joint venture entities, employees, and representatives, harmless from any first-party or third-party claim or demand (including attorneys’ fees and any fines, fees or penalties imposed by any governmental or regulatory authority) arising out of or related to you that you have (a) any failure to comply with and breach of any of these Terms; (b) breach of any of these Terms of UAM third- party service providers; (c) any failure to provide full and accurate details as requested by UAM; (d) any act or thing done or caused to be done by UAM in connection with or referable to these Terms; (e) misuse of the UAM App and/or your UAM Account; (f) any act or omission on your part related to UAM App and/or your UAM Account; and (g) your violation of any Applicable Laws or regulations of any jurisdiction, or the rights of any third party. 15.2 Your obligation to indemnify UAM and its personnel shall survive the termination of the UAM Account, these Terms and so forth. 

16 Dispute Resolution; Binding Arbitration; Class Waiver. 16.1 Please read the following clause carefully because it requires you to arbitrate certain disputes and claims with UAM and limits the manner in which you can seek relief from UAM, unless you opt out of arbitration by following the instructions set forth below. No class or representative actions or arbitrations are allowed under these Terms. In addition, arbitration precludes you from suing in court. 16.2 You and UAM agree that any dispute, including but not limited to disputes arising out of or related to these Terms or our Services is personal to you and UAM and that any dispute will be resolved solely through individual action, and will not be brought as a class arbitration, class action or any other type of representative proceeding. 16.3 Except for small claims disputes in which you or UAM seeks to bring an individual action in Arbitration located in the district of your residence, as determined by the records maintained by UAM for your account, or disputes in which you or UAM seek injunctive or other equitable relief for the alleged unlawful use of intellectual property, you and UAM agree to waive your rights to have any dispute resolved in court. These Terms to arbitrate disputes include, but is not limited to, any and all claims for relief and theories of liability between you and UAM, whether based in contract, tort, fraud, negligence, regulation, or ordinance; claims for relief under any state or federal statutes, including, but not limited to, the federal and any state analogs of the Consumer Protection Act, and other statutes, including state and federal statutes relating to the collection of personal and/or biometric data; claims for common law fraud, misrepresentation, or any other legal or equitable theory arising out of your relationship with UAM, and/or any interactions between you and UAM. If there is a final judicial determination that Applicable Laws precludes enforcement of this paragraph’s limitations as to a particular claim for relief, then that claim (and only that claim) must be severed from the Arbitration and may be brought in court, if any. 16.4 For any dispute or claim that you have against UAM or relating in any way to UAM Services, you shall before proceed directly to Arbitration, instantly contact UAM and attempt to resolve the claim informally by sending a written notice of your claim (“Notice”) to USCS at UAM App. The Notice must (a) include your name, residence address, email address, and telephone number; (b) describe the nature and basis of the claim; and (c) set forth the specific relief sought. UAM shall also have the option, but not the requirement, to pursue informal pre-arbitration resolution with you through the process as UAM will deem fit to get the matter solve. If you and UAM cannot reach an agreement to resolve the claim through the process, or if you or UAM decide to immediately proceed to arbitration without pursuing pre-arbitration resolution through the process, then either party may submit the dispute to binding arbitration administered by Malaysian Institute of Arbitrations (“MIARB”), or, under the limited circumstances set forth above, in court. All disputes submitted to MIARB will be resolved through confidential, binding arbitration before one arbitrator. Arbitration proceedings will either be held in Kuala Lumpur, Malaysia or may be conducted telephonically or via video conference, if you agree. For disputes alleging damages less than $10,000, the dispute will be decided on the basis of the parties’ written submissions and no final hearing or in person proceedings will be required absent the consent of both parties. With respect to the disputes of $10,000 or more, MIARB shall designate an arbitrator who maintains his or her primary residence in Kuala Lumpur, Malaysia. The most recent version of the MIARB Rules is available on the MIARB website and are hereby incorporated by reference. You either acknowledge and agree that you have read and understand the MIARB Rules or waive your opportunity to read the MIARB Rules and waive any claim that the MIARB Rules are unfair or should not apply for any reason. 16.5 The arbitrator, UAM, and you will maintain the confidentiality of any arbitration proceedings, judgments and awards, including, but not limited to, all information gathered, prepared and presented for purposes of the arbitration or related to the disputes therein. The arbitrator will have the authority to make appropriate rulings to safeguard confidentiality, unless the law provides to the contrary. The duty of confidentiality does not apply to the extent that disclosure is necessary to prepare for or conduct the arbitration hearing on the merits, in connection with a court application for a preliminary remedy or in connection with a judicial challenge to an arbitration award or its enforcement, or to the extent that disclosure is otherwise required by law or judicial decision. 16.6 You and UAM agree that for any arbitration you initiate, you will pay the MIARB fees and costs. For any arbitration initiated by UAM, UAM will pay all MIARB fees and costs. You and UAM agree that the court have exclusive jurisdiction over any appeals and the enforcement of an arbitration award. 16.7 The arbitrator shall apply the law of Malaysia 


1. Definitions. The definitions set forth in this Clause 1 of these UNACard Terms apply solely to the holder of UNACard (“UNACard Terms”). UNACard Terms shall prevail over any representations contained in any other promotional or advertising materials published or issued in relation to the UNACard. Defined terms used herein not otherwise defined shall have the same meaning as in the Terms. To the extent of any conflict between the definitions set forth in this Clause 1 of these UNACard Terms and the definitions set forth elsewhere in the Terms, the definitions set forth herein shall prevail for the purposes of these UNACard Terms. "Activation Period" means the period during which a UNACard can be used for Transaction, which is within seven (7) calendar working days from when the UNACard is generated or such longer period as determined by UAM from time to time in UAM’s sole discretion. "ATMs" stands for automated teller machine which is an electronic banking outlet that allows you to complete basic transactions without the aid of a branch representative or teller. Anyone with a debit card can access cash at most ATMs, either in your own country or other countries. "Card Brand" means a payment method 



to all substantive issues in the dispute; provided, however, that in the event that the law of Malaysia shall be deemed unenforceable due to the law of the state in which you reside, the arbitrator shall apply the law of the state in which you reside. Notwithstanding anything herein to the contrary, the arbitrator shall apply the laws of Malaysia to interpret and enforce these Terms to arbitrate disputes and each of its provisions, including with regard to any issues over acceptance of these Terms to arbitrate disputes. Judgment on the award rendered may be entered by any court of competent jurisdiction. 16.8 Any claim arising out of or related to these Terms, an Annex, or the Services must be filed within three (3) months after such claim arose; otherwise, the claim is permanently barred, which means that you and UAM will not have the right to assert the claim. 16.9 If any portion of this Clause 16 is found to be unenforceable or unlawful for any reason, (a) the unenforceable or unlawful provision shall be severed from these Terms; (b) severance of the unenforceable or unlawful provision shall have no impact whatsoever on the remainder of this Clause 16 or the Parties’ ability to compel arbitration of any remaining claims on an individual basis pursuant to this Clause 16; and (c) to the extent that any claims must therefore proceed on a class, collective, consolidated, or representative basis, such claims must be litigated in a civil court of competent jurisdiction and not in arbitration, and the parties agree that litigation of those claims shall be stayed pending the outcome of any individual claims in arbitration. Further, if any part of this Clause 16 is found to prohibit an individual claim seeking public injunctive relief, that provision will have no effect to the extent such relief is allowed to be sought out of arbitration, and the remainder of this Clause 16 will be enforceable. 16.10 Notwithstanding anything to the contrary in these Terms, and to the extent not prohibited by law, this Section 16 shall apply to all disputes, whether now existing or hereafter arising, whether related to any matter occurring prior to or after the effective date hereof, arising from or in connection with your use of the UAM Platform and/or UAM App. 

17 Order of Precedence. 17.1 These Terms shall supersede in its entirety any prior or earlier dated version thereof. Notwithstanding anything to the contrary herein or therein, in the event of any conflict or inconsistency between these Terms and any prior or earlier dated version thereof, these Terms shall supersede and control in all events. For avoidance of doubt, by accepting these Terms, you agree that these Terms shall apply to all matters pertaining to your use of the UAM Platform and/or UAM App, whether occurring or arising prior to or after the effective date hereof. 17.2 All Annexes are incorporated herein by reference. Notwithstanding anything to the contrary herein or therein, in the event of any conflict or inconsistency between these Terms and any Annex, such conflict or inconsistency shall be resolved in accordance with Clause 1.2. 

18 Change Of Particulars. 18.1 You have agreed and undertook to notify UAM immediately of any change in your particulars, or any information relating to any UAM Account or to these Terms, supplied to UAM or to update the changes online. UAM shall at all times be entitled to rely on the records last submitted by you unless any change in the particulars therein have been notified to UAM or updated online by you. UAM is not obliged to verify any particulars furnished or updated online by you and UAM shall not be liable or responsible for any loss suffered or incurred by you or any other person by reason of any error or omission in the completion of providing the personal particulars or in the furnishing or online updating of the particulars by you. 

19 Authority of Personal Representatives. 19.1 All acts performed by UAM prior to receiving written notice together with the necessary documentations, of your death, incapacity of or incapability shall be valid and binding upon you and your successors in title. 19.2 In the event of your death, UAM shall be absolutely protected in acting under these Terms until UAM receives actual notice of death from your legal personal representatives or executors. The legal personal representatives or executors will be recognized by UAM as having the sole authority to act under these Terms on your behalf. 

20 General / Miscellaneous Provisions. 20.1 These Terms may from time to time be updated or amended. UAM will post any such updates on the UAM App or Platform. Such updated Terms as posted will take effect immediately unless otherwise indicated. You should regularly check the UAM App and Platform to inform yourself of any such changes. In addition, UAM may at any time change, add, or remove any feature or functionality of the UAM App without prior notice. By continuing to use the UAM App and/or the UAM Platform after any such change, you are indicating your acceptance of the updated or amended Terms as well as your acceptance of the updated UAM App. If you do not wish to be bound by any changes or amendments to these Terms then you should stop using the UAM App and/or the UAM Platform immediately. 20.2 These Terms, and any rights and obligations and licenses granted hereunder, are limited, revocable, non-exclusive and personal to you and therefore may not be transferred, assigned, or delegated by you to any third party without our written consent, but may be transferred, assigned or delegated by UAM without notice and restriction, including without limitation to any of the entities within the UAM Platform, or to any successor in interest of any business associated with the UAM App. Any attempted transfer or assignment in violation hereof shall be null and void. 20.3 If any provision of these Terms shall be found by any arbitration, court or administrative body of competent jurisdiction to be invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect the other provisions of these Terms and all provisions not affected by such invalidity or unenforceability shall remain in full force and effect. Such provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under any Applicable Laws. 20.4 These Terms, including all the addenda hereto, which are incorporated herein by reference, constitute the entire agreement between the Parties with regard to its subject matter and supersedes and invalidates all other prior representations, arrangements, understandings, and agreements relating to the same subject matter, whether oral or in writing, express or implied. You acknowledge that in agreeing to these Terms you do not rely on any statement, representation, warranty, or understanding other than those expressly set out in these Terms. These Terms are set forth in the English language or other languages and all communications including any notices or information being transmitted shall be in English or other language as permitted by UAM. In the event that these Terms or any part of it is translated (for any proceedings, for your convenience, or otherwise) into any other language, the English language text of these Terms shall prevail. 20.5 These Terms shall not be waived in whole or in part except where solely approved by the UAM in writing. The delay of enforcement or the non-enforcement of any of the provisions of these Terms by any party shall not be construed as a waiver of any of the other rights of that party arising out of the breach or any subsequent breach of any of these Terms, and no right, power or remedy conferred upon or reserved for any party in these Terms is exclusive of any other right, power or remedy available to that party and each such right, power or remedy shall be cumulative. 20.6 By using the UAM App, you agree that UAM may provide you with any notices or other communications, including marketing, relating to your use of the UAM App electronically, at UAM option, via UAM Platform or UAM App. For notices made by UAM App, the date of receipt will be deemed the date on which such notice is transmitted. You will be given the option to unsubscribe from receiving any marketing material from UAM. Notices to UAM should be sent electronically to UAM’s UCSC. 20.7 Other than any entities within the UAM Platform, a person who is not a party to these Terms has no right to enforce any of these Terms. Notwithstanding the foregoing or anything herein to the contrary, these Terms shall apply to your heirs, assigns, guardians, agents acting under a valid power of attorney, personal representatives, executors, and other fiduciaries. 

ADDENDUM 1 – UNACARD TERMS

"Card Brand Rules" means the bylaws, operating regulations, rules, policies and procedures as defined by the Card Brand. "UNACard" means a virtual card, on top-up basis, with its own PAN and SAN code which is generated through the UAM App or any other means that UAM may make available to facilitate a Transaction with Participating Merchants and other Merchants on a one-time basis which UAM may introduce or replace from time to time; "UNACard Terms" means this Addendum. "Transaction" means any transaction authorized by you and accepted and authorized by UAM under these UNACard Terms. "PAN" means the 16-digit Primary Account Number, which is the number embossed on the front of an UNACard. "Participating Merchants" means online retailers and suppliers of Financial Products and/or Services who have been appointed by UAM which accept UNACards as a method of payment. "Merchant" includes all merchants that may be appointed by UAM in future to supplying any financial product and/or services which will accept UNACards as a method of payment. "Pass Code" means a password or code that UAM may require to authenticate your identity or a Transaction. "SAN" means the private digit number, which is the number embossed at the back of UNACard. "Unauthorized Transaction" means a Transaction not authorized by you and from which you do not receive a benefit, but does not include any transaction: (i) carried out by you or by anyone performing the transaction with your knowledge and consent; (ii) carried out by a person to whom you furnished your Enabled Device; or (iii) you or any person with whom you are acting in concert initiate with fraudulent intent nor any similar transaction. "U" means any form of monies that the Parties hereto may agree to transact. 

3. Using UNACard. 3.1 Each UNACard shall entitle you to the benefits, without limitations, as follows :- (a) Saving Purposes. UNACard provides the facility to keep your monies in safe place. (b) Flexible Spending. You can make purchases at millions of locations worldwide, including online retailers, brick-and-mortar stores, and restaurants as permitted by UAM. Flexible and convenient payment option for everyday spending and can particularly useful for those who prefer to avoid credit card debt. (c) Worldwide Withdrawal. UNACard is a convenient and widely accepted payment method that allows you to access your funds in your bank account. With a debit card, you can withdraw money from ATMs and make purchases at millions of locations worldwide. (d) Discreet. Discreet debit card payment typically involves using a payment network that masks the details of the transaction, such as the name of the retailer or the nature of the purchase. It’s useful for sensitive or private purchaser such as for medical expenses or adult products. 3.2 Each UNACard allows you to purchase Financial Products and/or Services online from Participating Merchants and other Merchants as UAM determine at UAM’s sole discretion from time to time. UAM maintain sole discretion to determine who are the Participating Merchants and other Merchants and the terms of their participation, and UAM reserves the right to add, remove, or change the list of Participating Merchants and other Merchants. UAM reserve the right to restrict any Participating Merchants or other Merchants and decline, cancel or reverse Transactions at any Participating Merchant or other Merchants without prior notice and without liability to you. 3.3 Each UNACard can only be used during the Activation Period. If an UNACard Transaction does not occur within the Activation Period, the Transaction may be declined. 3.4 The value of a Transaction made using an UNACard will be debited from your monies in your Discretionary Account or U Wallet. 3.5 You agree not to make or attempt to make Transaction that exceed the available monies in your Discretionary Account or U Wallet. If there are insufficient monies in your Discretionary Account or U Wallet, any attempted Transaction with an UNACard will not be permitted and/or will be declined. 3.6 You may be eligible to receive a certain amount as a reward or gratuity (“Rewards”) via the UAM App at UAM’s sole discretion after you have successfully completed the target of using the Transactions with an UNACard. The Rewards will be reflected in your Discretionary Account or U Wallet. UAM reserves the right to refuse to pay any Rewards, amend any such Rewards and eligibility thereof at UAM’s sole discretion. 3.7 You can use an UNACard within the limits specified in Clause 4 of these UNACard Terms provided that you do not exceed the monies available in your Discretionary Account or U Wallet, the expiry date for the UNACard has not passed and the UNACard has not been canceled. 3.8 UAM may restrict, suspend or prevent the use of UNACards to make Transactions :- (a) if excessive use of UNACards or other suspicious activities by you or a Participating Merchants and other Merchants are noticed or suspected in accordance with Section 9; or (b) if it is otherwise prohibited under these UNACard Terms and/or the Terms; or (c) as is required, as determined in UAM’s sole discretion, to comply with Applicable Laws or the Card Brand Rules. 3.9 If you are entitled to a refund for any reason relating to an UNACard Transaction, you agree to accept the refund in the manner as per stipulated in Clause 3.9 (d) of these Term determined by UAM as deems fit and or pursuant thereto the policy of that specific Participating Merchant and other Merchants. 3.10 UAM is not liable in any way when an authorization is declined for any particular UNACard Transaction regardless of reason. 



2. UNACard. 2.1 By creating and using the UNACard, you are entering into a binding contract with UAM and shall be deemed to have expressly read, understood and agreed to be bound by these UNACard Terms, the Terms and the Investment Terms. 2.2 UNACard works just like any debit card, allowing cardholders to make investment, to be the user of the Services and/or to purchase online the Financial Products and Services throughout the Participating Merchants and/or any appointed Merchants, as the well as to withdraw cash from ATMs. 2.3 Each UNACard is equipped with EMV Chip and Pin (chip programming included), the cardholder sanction verification system and secured also with inventory storage in an approved facility/vault, if necessary. 2.4 Each UNACard will be of a Card Brand determined by UAM and/or our third-party service providers’ sole discretion. 2.5 Your Discretionary Account or U Wallet must have sufficient monies before an UNACard can be used to facilitate a Transaction and until the amount of the Transaction is debited from your Discretionary Account or U Wallet. 2.6 There is no stored value on an UNACard. Any Transaction is debited against the monies available in your Discretionary Account or U Wallet, the proceeds of which you will use to pre-pay for Financial Products and/or Services from applicable Participating Merchants and other Merchants up to the maximum value of the Financial Products and/or Services intended to be purchased and/or invested. 2.7 Where there is a conflict between the Terms and these UNACard Terms, the UNACard Terms control exclusively with respect to use of the UNACard. The Terms otherwise control. 2.8 The limitations, restrictions, and disclaimers set forth in these UNACard Terms (including but not limited to those set forth of these UNACard Terms) are not intended to abridge, limit, nullify, or otherwise modify any other applicable limitations, restrictions, and disclaimers set forth elsewhere in the Terms. 

4. Limitations Of Use Of UNACard. 4.1 UNACards must not be used for, and the following transactions are thus prohibited :- (a) any illegal transactions; (b) payment for ongoing services or recurring payments such as subscription services; (c) any other transactions declined by UAM in accordance with these UNACard Terms and/or the Terms; and (d) transactions at retailers which do not accept the relevant Card Brand and therefore do not accept an UNACard as payment for goods or services. 

5. Expiry And Cancellation. 5.1 Each UNACard is valid until the expiry date shown on it. An UNACard can only be used for a Transaction with a Participating Merchants and other Merchants during the Activation Period and will be canceled after the Activation Period or upon expiry date regardless of whether there are pending of any Transactions. 5.2 You may request an UNACard to be canceled during the Activation Period at any time. If you cancel an UNACard during the Activation Period, UAM will refund any remaining balance in the manner as per stipulated in Clause 3.9 (d) of these Terms or credit to your U Wallet as determined by UAM as deems fit, if applicable, subject to any deductible payment gateways fees. 5.3 If there is remaining balance in an UNACard upon expiry of the Activation Period, the remaining balance will be refunded in the manner as per in stipulated in Clause 5.2. 5.4 UAM may cancel an UNACard during the Activation Period at any time without giving you prior notice if :- (a) UAM reasonably believe that use of an UNACard may cause loss to you or to UAM; or (b) UAM reasonably believe that cancellation of an UNACard is required for security or legal purposes, or for compliance with Applicable Law; or (c) UAM suspect that you may be in breach of, or are otherwise trying to circumvent, the UNACard Terms or these Terms, or are abusing UAM rewards system; or (d) UAM suspects that an UNACard or your Discretionary Account or U Wallet with UAM Platform has been used illegally and/or fraudulently in an unauthorized manner; or (e) for any other reason that UAM deems appropriate to do so. 5.5 UAM may also prohibit you from using UNACard to transact altogether without giving you prior notice in the circumstances described in Clause 5.4 above or if UAM decide to terminate the UNACard program. 5.6 If UAM cancels an UNACard during the Activation Period or prohibit you from using UNACards to transact in the circumstances described in Clause 5.4 above, UAM will notify you via UAM Platform. 

6. Security. 6.1 You must make sure that you keep each UNACard and any Pass Code safe and secure. The precautions UAM require you to take are set out below. 6.2 You must :- (a) ensure that any security details to access your Enabled Device or authorize a payment with your Enabled Device is not easily guessed or compromised; (b) immediately report to UAM the loss, theft or unauthorized use of your Enabled Device, or unauthorized use of an UNACard; (c) examine your Discretionary Account or U Wallet to identify and report, as soon as possible, and instances of unauthorized use; and (d) keep information about each UNACard (including Pass Code, PAN, SAN and so forth) private and never store or communicate the information to anyone (excluding Participating Merchants and other Merchants to whom you may be required to disclose this information when you use an UNACard). 6.3 You must not :- (a) allow anyone else to use your UNACard; (b) unnecessarily disclose a PAN, SAN and Pass Code to anyone; (c) use a Pass Code selected from your birth date, identity card, passport, driving license or contact numbers; (d) leave your UNACard unattended in places visible and accessible to others. 6.4 Any transactions initiated by a person with access to the UNACard or your Enabled Device will be deemed to have been authorized by you and Clause 9 (Liability for unauthorized Transactions) will not apply. 6.5 You acknowledge and agree that UAM is not in any way responsible or liable for any losses you may incur by failing to keep each UNACard and any Pass Code safe and secure. 

7. Loss, Theft And Misuse Of Devices. 7.1 If you know or suspect that your Enabled Device is lost, stolen or damaged, or is likely to be misused, that there has been unauthorized use of an UNACard, or that someone else may know the Pass Code, you must immediately notify us. UAM may then cancel the UNACard to restrict its use. 7.2 You may be required to confirm details of the loss, theft or misuse in writing to UAM UCSC to provide particular information in the confirmation and you must comply with that requirement. 

8. Fees. 8.1 UAM will charge a fee for issuing or renewing an UNACard that may be varied from time to time. However, you will continue to be liable for all fees described in the Terms. 8.2 Participating Merchants and other Merchants may charge an additional fee for UNACard Transaction, if any. This fee is determined and charged by the Participating Merchants and other Merchants and is not determined nor retained by nor shared with UAM. 

9. Liability For Unauthorized Transactions. 9.1 UAM is not liable in respect of an unauthorized Transactions and you are liable to UAM in respect of an unauthorized Transaction if :- (a) you have failed to advise UAM of any suspected or unauthorized use of an UNACard; or (b) you have delayed in notifying UAM at soonest you realize the loss or unauthorized use of your UNACard; or (c) you have voluntarily disclosed and provided information regarding your UNACard, without limitation, the Pass Code to someone whether knowingly or not; or (d) you have recorded the Pass Code on your UNACard, or on anything kept near your UNACard; or (e) you have committed fraud and acted fraudulently. 9.2 You are not liable to UAM in respect of an unauthorized Transaction if :- (a) the unauthorized Transaction occurred after you had advised us of suspected unauthorized use of an UNACard; or (b) UAM determine that you were not directly or indirectly responsible for the relevant unauthorized Transaction; or it was caused by the fraudulent or negligent conduct of employees or agents of UAM; or any organization involved in the provision of the electronic funds transfer system; or any Participating Merchants and other Merchants. 9.3 If you are concerned about any suspicious activities on an UNACard usage or UAM App, please contact our UAM UCSC – Customer Service Team immediately. 9.4 If you report an unauthorized Transaction, UAM will not hold you liable for losses arising from the unauthorized Transaction for an amount greater than your liability if UAM exercised any rights under the applicable Card Brand Rules at the time of the report, against other parties to the Card Brand Rules (for example, chargeback rights). 

10. Important Information about Chargebacks. 10.1 In some circumstances, you may be able to request a chargeback of a Transaction when you have a dispute with a Participating Merchants and other Merchants, such as the Participating Merchants and other Merchants’ failure to supply the Financial Products and/or Services as you paid for. 10.2 A chargeback is a right under the applicable Card Brand Rules by which a Transaction can effectively be reversed by UAM debiting an amount to the Participating Merchants and other Merchants’ financial institution and crediting the equivalent amount back to your Discretionary Account or U Wallet. UAM can only process chargebacks if the Card Brand Rules allow UAM to. 10.3 If you believe that you are entitled to a chargeback, you must notify UAM as soon as possible by contacting UCSC vide live chat in UAM Platform. 10.4 The Card Brand Rules may impose time limits for initiating chargebacks. The time limit is generally one hundred twenty (120) days from the date of the disputed the Transaction. 10.5 If you request a chargeback, UAM may need you to provide additional information. If UAM do ask you for additional information and you do not provide it within ten (10) days, then you may lose any rights to the chargeback and if it has already been processed, UAM may reverse it. 10.6 Please note that if UAM process a chargeback, the Participating Merchants and other Merchants may have rights under Card Brand Rules to have the Transaction investigated further, and this can in some circumstances result in the chargeback being reversed (which means the original Transaction might be reinstated by being debited to your Discretionary Account or U Wallet). 

DDENDUM 2 – INVESTMENT TERMS AND CONDITIONS 

The following terms and conditions apply to all investment accounts opened and maintained with UAM. 

1 Please make sure you fully read and understand these terms and keep them for future reference. These terms include a waiver of your right to participate in class or representative actions and an agreement to resolve disputes by arbitration on an individual basis. UAM assumes no liability or responsibility for any act, omission, default or defects in the Financial Products and/or Services offered by the Participating Merchants and other Merchants and will not be responsible for any loss, damage, costs or expenses suffered or incurred as a direct or indirect therefrom. 

2 Definitions. The definitions set forth in this Clause 2 of these Investment Terms and Conditions (“Investment Terms”) apply solely to you as the Investor of the Financial Products and Services. Defined terms used herein not otherwise defined shall have the same meaning as in the Terms. To the extent of any conflict between the definitions set forth in this Clause 2 of these Investment Terms and the definitions set forth elsewhere in the Terms, the definitions set forth herein shall prevail for the purposes of these Investment Terms. "Applicable Laws" means all relevant or applicable statutes, laws, rules, regulations, directives, notices, circulars and so forth; "Cooling–Off Period" shall have the meaning ascribed to it in Clause 8.1; "Custodian" means a custodian or sub-custodian (whether in Malaysia or elsewhere) appointed by UAM (including without limitation, UAM in a custodial capacity for the Investors) from time to time in respect of (i) monies of the Investors and/or (ii) any Security subscribed for or purchased by the Investors through the relevant Account; "Digital Account" means the account on which you have opened and maintained to have directly, via UAM Platform, access to the financial products or services provided by Managed Portfolio and/or any other Merchants, where applicable; "Discretionary Account" means your accounts maintained with UAM, where you have granted a discretionary authority to UAM to make investment decisions and execute Securities Transactions on behalf of yourselves through the account under Managed Portfolios and/or any other Merchants, and the operation of such account shall be in accordance with the terms and conditions as determined by UAM from time to time; "Financial Year" means UAM’s financial accounting period of twelve (12) months ending on each calendar year. "Force Majeure Event" means any event beyond UAM’ control, such as fire, earthquake, flood, lightning, riots, strikes, lockouts, government action, Movement Control Order (MCO), war, the acts, orders, directives, policies, regulations, prohibitions or measures of any kind on the part of any court, governmental, parliamentary and/or regulatory authority imposed after the fact, power failure, acts or defaults of any telecommunications network operator, telecommunications disruption or computer failure; "Investment Sum" means the investment sum as paid by you as Investor per stated herein Clause 6. "Investor" means any person or persons who either holds the Discretionary Account or U Wallet with UAM and/or the Digital Account with any Merchants includes the successors in title or legal representatives, whichever is applicable, of the Investor; "Loss" means any and all loss, damage, costs (including cost of funding), charges and expenses of whatsoever nature and howsoever 



arising, including legal fees on a full indemnity basis; "Managed Portfolios" means the portfolio management services provided and linked by UAM, without limitation, Ingots, Sky Strike, Unabet 31, UNACard and any others portfolio that may be provided by other Merchants in accordance with these Terms, the UNACard Terms and the Investment Terms as determined by UAM from time to time; "Manager" means the manager and/or issuer of any particular portfolio or fund; "Order" means any authorization, request, instruction or order (in whatever form and howsoever sent) given or transmitted to UAM and/or any Merchant or Manager of any particular Portfolio by you as the Investors or which UAM and/or any Merchant or Manager of any particular Portfolio reasonably believes to be the authorization, request, instruction or order of the Investor, and includes any authorization, request, instruction or order to revoke, ignore or vary any previous authorization, request, instruction or order; "Personnel" means the directors, officers, employees, servants, agents and employees of UAM and/or its nominee; "ROI" means Return on investment that any monies and/or benefits received by UAM from the Managed Portfolios and/or any other portfolios and shall be respectively distributed to the Investors in accordance with the Investment Terms herein. "Security" or "Securities" means investment on Financial Products and/or Services provided by the existing Participating Merchants in UAM Platform and/or any retailers or merchants in near future provide any services of financial products in respect to, without limitation, stocks, shares, bonds, notes, rights, warrants (including any warrant, option, transferable subscription right, loan stock and convertible right) in respect of any security; "Transaction" means any transaction effected under the Account in respect of any Security and includes applications for subscription, switching, transferring and redemption of Units in any Fund and/or Securities; "you/your" may refer to the Investor who is investing into the Financial Product and/or Services as provided by UAM Platform and/or any Affiliates. 


3 Scope And Application. 3.1 The Investment Terms herein, subject to the Clause 6 herein, shall prevail any earlier important promissory notes for investment by UAM to you of any Managed Portfolios and/or any other portfolios. 3.2 The Investment Terms herein, subject to the Clause 10 herein, shall also prevail any earlier important promissory notes for investment by UAM to you of any private investment to the Managed Portfolios and/or any other portfolios. 3.3 UAM reserves the right to add to, amend or vary any of the Investment Terms at any time in its sole and absolute discretion and any additions, amendments or variations shall take effect and bind you from such date as UAM may prescribe provided that UAM gives prior notice to you by means of announcement and/or notice vide the UAM Platform or UAM App. 3.4 You shall be deemed to have agreed to any addition, amendment and/or variation without reservation, whether or not the Investors give UAM any written notes subsequent to the said change in the Investment Terms. 3.5 In addition, UAM reserves the right to add to, amend or vary any of its general operating procedures, including but not limited to the rules and regulations for transacting in a relevant Managed Portfolios and/or any other portfolios, at any time in its sole and absolute discretion. 

4 Conduct of the Investors. 4.1 All the Investors shall contribute their respective efforts to promote the brand name of UAM Platform, where appropriate, the carrying into effect of the Investment Terms as if they were embodied in the status of UAM that :- (a) you shall refrain from acting in a manner which hinder or prevent UAM from carrying on the investment in a proper and reasonable manner; (b) you shall generally use your best endeavours to promote the interest of UAM in order to maximize the profit arising therefrom; (c) you shall be responsible for, at all the material times, updating yourselves the changes of the personal particulars to UAM and furnish promptly such other information concerning yourselves as UAM may reasonably request; (d) you shall ensure that you have full capacity and authority to accept and agree to the Investment Terms; to open, maintain and/or continue to maintain the Discretionary Account or U Wallet from time to time opened and/or maintained and/or continued to be maintained with UAM, and to give UAM full authority thereon and to enter into any investment Transactions contemplated herein; (e) you undertake no litigation, arbitration or administrative proceeding against you are current, pending or threatened to restrain themselves from enter into or performance of your obligations herein; (f) you have read, understood and accepted the terms of the risk disclosure statements, that the risk disclosure statements are not substitute for taking independent advice, and that no any investment is entered into in reliance on any statement, advise or information, unless provided otherwise, by UAM; (g) you have made in your solely and exclusively decision to invest into UAM based on your own judgment and after your own independent appraisal and investigation into the risks associated with such investment; (h) unless agreed by UAM, no person other than you have an interest in any Discretionary Account, U Wallet and/or the Digital Account; and (i) except with the express written consent of UAM, you shall not have or will have any Security or encumbrance over any Discretionary Account or U Wallet as maintained by UAM and/or Digital Account as maintained by the relevant Merchants. 4.2 The above representations and undertakings shall be deemed valid whenever you accept all the Investment Terms herein and establish a new Discretionary Account or U Wallet with UAM and/or Digital Account as maintained by the relevant Merchants. 

5 Investment Goal. 5.1 The primary object of the UAM is to establish a platform and to carry on the investment in financial portfolios throughout the financial market on sound commercial profit-making principles so as to generate the maximum achievable maintainable profits available for distribution to you as the Investors during the term of the Investment. 5.2 UAM has demonstrated impressive growth and performance over the years. In order to reach the objective herein provided, you hereby covenant to invest in UAM Investment Packages and/or use the services of UAM as platform for the sole purposes of directly investment in the Managed Portfolios and/or other portfolios which is entrusted with the Manager and/or the managing team of the specific portfolio an exclusive and absolute right to manage and administer the Managed Portfolios and/or other portfolios free from interferences and interruptions of whatsoever of you during the term of the Investment. You shall nonetheless further undertake and covenant with UAM to share the responsibility and burden of attaining the objective of the UAM. 

6 UAM Investment Package Provision. 6.1 UAM has throughout its well-planning offered an investment package per person to the Investors as minimum investment sum (“Investment Sum”) to enjoy the benefit and profit derived therefrom the Managed Portfolios and/or other portfolios that may be varied from time to time based on the principal of diversified investment as maintained by UAM. 6.2 Upon the receipt of the Investment Sum from you and also your acceptance of these Terms and the Investment Terms hereof, UAM shall within three (3) day execute the investment transaction to the Managed Portfolios and/or other portfolios by placing a revocable order with the relevant Manager of the particular portfolio. 6.3 UAM shall not in any way be deemed to provide any advance loan or credit facility to you before settlement of the Investment Sum by yourselves. UAM shall only, upon the receipt of the cleared-funds basis, execute the investment transactions by placing the Investment Sum with the relevant Manager of the Managed Portfolios and/or other portfolios subject to the sole and absolute discretion of UAM. 6.4 If UAM has executed the investment transaction with the relevant Manager of the Managed Portfolios and/or other portfolios before the actual receipt in full of the Investment Sum, you shall procure that full Investment Sum should be received by period as specified by UAM in its sole and absolute discretion from time to time. If such full Investment Sum is not received within the time period as specified by UAM or where there is confirmation of insufficient funds in your bank account, the investment may be cancelled forthwith or resold to the Managers of the Managed Portfolios and/or other portfolios without any liability or responsibility on the part of UAM, in which event you shall be responsible for any loss suffered by UAM resulting from your failure to make such payment. UAM reserves the right to set off the said loss against the available balance in your Discretionary Account or U Wallet. 6.5 You understand that if there is any outstanding payment required for any Managed Portfolios and/or other portfolios, which you have invested, after the due date of the investment transaction (if applicable), UAM reserves the right to force sell any or all of these Managed Portfolios and/or other portfolios. You shall be responsible for any loss suffered by UAM and UAM shall not be liable for any loss, suffered by you, including but not limited to a loss as a result of any fall in the market price of the Managed Portfolio and/or other portfolios between the time the right to force sell arose and the time it actually sells the Managed Portfolios and/or other portfolios. 6.6 Orders placed by UAM herein may be aggregated and consolidated either daily or from time to 



time by UAM together with orders placed by UAM's other Investors or any other person whom UAM deems fit, for the purposes of placement of the orders by UAM with the relevant Manager. 6.7 UAM shall execute the investment transaction to the Managed Portfolios and/or other portfolios in the case of the Investment Sum as received by UAM on any dealing day before the relevant cut-off time (as may be specified by UAM in its sole and absolute discretion) shall be consolidated with other investment transactions (if any) for placement with the relevant Manager on the same dealing day. In the event that the Investment Sum received after the specified cut-off time shall be deemed to be received by UAM on the next dealing day and shall only be placed with the relevant Managers on the next dealing day. For the avoidance of doubt, payment of the Investment Sum that fall on a holiday (as determined by UAM) or that fall on a day as immediately informed by UAM in absolute discretion on an ad hoc basis, will be processed only on the next dealing day or business day. 6.8 Where UAM has placed a consolidated order for the subscription of Securities with the relevant Manager of the Managed Portfolios and/or other portfolios, the relevant Manager shall issue the relevant Securities to and register the Securities in the name of UAM. The Securities so issued will be allotted or allocated among you and the other relevant Investors of UAM in any order or manner as UAM may in its sole and absolute discretion determine. In the event that a Security is fully sold or redeemed, if ROI is declared thereafter, UAM will subsequently have the right to park the sale or redemption proceeds into the Discretionary Account or U Wallet of respective Investor. 6.9 In respect of investment transactions involving cash, UAM will send the confirmation notes and/or receipt to you being the evidence of such payment. 

7 ROI Of Investment. 7.1 In return of the UAM Investment Packages, the Investors shall be awarded with any monies and/or benefits received by UAM from the Managed Portfolios and/or any other portfolios (“the ROI”) which shall be respectively distributed to the Investors, as UAM think fits, provided that :- (a) any necessary and compulsory deduction of any fees and expenses as needed in the management of the UAM; and/or (b) any minimum costs as needed to keep and maintain the Discretionary Account in management of the UAM. 7.2 Subject to the Clause 8.6, any earlier withdrawal from the investment shall entitle the UAM to deduct the Investment Sum value as paid by the Investors and the Investors are ceased to entitle any benefit from the ROI in relation to the investment of the Managed Portfolios and/or any other portfolios. 

8 Term of the Investment. 8.1 An Investor who is investing for the first time, has the right to request for a refund the Investment Fund during the cooling-off period of three (3) days from the date of receipt of the Investment Sum ("Cooling-Off Period") provided always that such notice of withdrawal is received by UCSC no later than the relevant cut-off time. All such request for a refund shall be subject to these Terms, the UNACard Terms and the Investment Terms and/or the Applicable Laws. For the avoidance of doubt, a cooling-off right is only available for a qualified Investor’s first investment on UAM Platform. The Customer shall be liable for any and all costs and expenses incurred by UAM and/or the Custodian or which may be imposed by UAM or the relevant Manager in relation to Investment Sum and the Investors hereby authorize UAM to deduct all such costs and expenses from the refund proceeds due to the Investors as may be permitted under Applicable Laws. 8.2 The Parties hereto are fully aware that the effective, valid and binding period of this Investment shall be of the term of one (1) year commencing from the date as the Investors have accepted these Terms of UAM and the Investment Terms herein and shall be expired on after one (1) calendar year from the commencement date. 8.3 Upon the expiry of the term of the Investment, UAM shall has rights either to redeem or not the Securities as invested in the relevant financial portfolios from the Manager and/or the management team of the Managed Portfolios and/or any other portfolios. UAM has absolute right to extend the term and/or opt to earlier termination of this investment. Any extension of the term shall entitle the Investors continuing to enjoy and entitle the benefit as received before and/or any earlier termination by UAM may result the Investors ceasing to enjoy the relevant benefits. 8.4 UAM, may allow the Investors to convert the right of any benefits, entitlements and/or ROI in the Discretionary Account or U Wallet into any Securities in any particular Financial Products upon expiry of the term of such Investment. 8.5 All the Investors shall be binding their rights and benefits which they have agreed, covenanted and undertook with each other that neither of them shall withdraw or demand the refund of any Investment Sum made and subscription paid towards UAM during the term contrary to the provisions of these Terms or the Investment Terms under whatsoever circumstances for whatsoever reasons save and except with the procurement of a prior written consent of UAM. 8.6 The Investors are not encouraged to prematurely withdraw from the Investment under whatsoever circumstances for whatsoever reasons prior to the lapse of the term hereof, any such conduct may result the deduction of thirty per centum (30%) of the Investment Sum being the management or handling fees and subject strictly to the condition that all ROI shall be forfeited by UAM and this fee may be varied from time to time at sole and absolute discretion by UAM. 8.7 The Investors are encouraged to continuing the Investment under whatsoever circumstances for whatsoever reasons upon maturity of the term of one (1) year. Any such conduct to withdrawal after the maturity period may result merely the deduction of five per centum (5%) of the Investment Sum being the management or handling fees and subject strictly to the condition that all ROI shall be forwarded to the Investor at sole and absolute discretion by UAM. 8.8 The Investors shall merely be allowed to assign the rights and liabilities to any third party as approved by UAM provided that the third party is willing to continue the same and agree to be bound by the terms and conditions of this Investment Terms and these Terms subject further to the costs and expenses of such assignment. 8.9 UAM reserves the right to impose minimum values for monies parked in and/or withdrawals from the Discretionary Account by the Investors. 8.10 UAM reserves the right to return the balance monies in the Discretionary Account or U Wallet to the Investors at any times as to be determined by UAM at sole and absolute discretion.

10 Private Investment Provisions. 10.1 Notwithstanding the Investment Provision by UAM as stipulated in the Clause 6.1, the Investors may also place their own private investments, throughout the linkage as provided by UAM Platform, directly with the Participating Merchants and/or any other Merchant, where applicable, for the Financial Products and/or Services without limitation the Managed Portfolios and/or any other portfolios that the UAM Platform may offer the Services at all the material times. All the investments dealing herewith are in between the Investors and the relevant Merchants only for those specific purposes unless otherwise agreed between the parties. 10.2 Where the Investors transact directly with the Manager of the specific Financial Portfolio, the Investors acknowledges that UAM prohibits any of the representative of the relevant Merchants from giving any trading suggestions, recommendations or information especially on behalf of UAM. 10.3 Although the dealing is done throughout the link as provided in the UAM Platform, UAM shall be not held any responsibility or is not liable in any way in whatsoever manner for any transactions deal directly in between the Investor the Manager of the specific Financial Portfolio in relation to, without limitation, any monies losses or misrepresentation and so forth. 10.4 UAM has sole and absolute right to decline and deny the private investment of the Investors in any particular portfolios at any time without prior notice or giving any relevant party hereto if :- (a) UAM reasonably believe that UAM Platform has been misused and not in line with the Investment Goals as stipulated in Clause 5; (b) UAM reasonably believe that such private investment may cause loss to UAM; (c) UAM reasonably believe that the decline and deny is required for security or legal purposes, or for compliance with Applicable Law; (d) UAM suspect that the Investors may be in breach of, or are otherwise trying to circumvent, these Investment Terms or the Terms, or are abusing our UAM system; (e) UAM suspect that the link as provided by UAM or the Investor’s Digital Account with relevant Merchant has been used illegally and/or fraudulently in an unauthorized manner; or (e) for any other reason that UAM 

deem appropriate to do so. 10.5 The Investors agree that in the case where there is an occurrence of the situation as above-mentioned in Clause 10.4, the Investors will not hold UAM responsible for any liability arising from the execution of the same. 10.6 The Investors hereby unconditionally authorize UAM to act on the Investors’ behalf :- (a) to access to the Investors’ Digital Account as maintained by relevant Merchants’ Platform; and (b) to perform or carry out balance inquiry of the cash, shares, stocks or other securities in the Investor’s Digital Account, if necessary. 

11 Digital Cash Account. 11.1 Pursuant thereto the Clause 10 as stipulated herein-above, an individual account either of cash or digital (“the Digital Account”) could be opened directly with the relevant Merchant by the Investors, via the link provided by UAM Platform, for the use of private investment through which the Investors’ investment monies under this Agreement are transacted. 11.2 The Digital Account is absolutely different from the Discretionary Account and is not applicable for investments package as offered Clause 6 of this Investment Terms. 11.3 Unless otherwise agreed by Investors and UAM, UAM has the rights to deduct any monies available in the Digital Account, with the consent and permission from the Investors and/or the relevant Merchants to :- (a) pay for any fees and charges imposed by UAM from time to time if the Discretionary Account is of insufficiency balance to pay to; (b) pay for any outstanding sums due and payable by the Investors to UAM; (c) pay for the losses of UAM generated therefrom the fraudulent and misconduct of the Investors; and (d) pay for any costs and expenses that UAM may deemed fit and reasonable to do so. 11.4 Where there are insufficient monies in the Digital Account to make the required payments in Clause 11.3, UAM shall redeem what it deems as the best performing Securities in the particular Portfolio invested by the Investor to pay the outstanding amount due and owing to UAM. 11.5 The relevant Merchants may reserve the right to impose minimum values for monies parked in and/or withdrawals from the Digital Account. 

12 General Conditions on Appointment of Manager. 12.1 In respect of the UAM Investment Package, the appointment of the Manager of the Managed Portfolios and/or any other relevant portfolio shall be unilaterally done by UAM on your behalf; whereas in the Private Investment links in between the Investors and Manager of the Managed Portfolios and/or any other relevant portfolio vide the UAM Platform, you hereby authorize, consent and agree to the disclosure to UAM at any time of any or all information in respect of any particulars of the Manager of the Merchants of particular portfolios, the Transactions or your Digital Account. UAM may, in its sole and absolute discretion, deem fit, appropriate or necessary, to request such disclosure is made in accordance with Applicable Laws. 12.2 You shall not, either of the UAM investment packages or private investment, without the prior written consent of UAM, assign, charge or encumber any account (the Discretionary Account or Digital Account), or your rights therein, or create or permit to create, in favour of any person (other than UAM) any interest by way of trust or otherwise in that relevant Accounts. UAM shall not be required to recognize any person other than you as having any interest in the above-mentioned relevant Accounts. 12.3 Without prejudice to Clause 12.5 but subject to compliance with Applicable Laws, UAM may, when necessary and at its sole and absolute discretion, hold all Securities for which you have invested, subscribed or purchased, on your behalf as bare custodian and not trustee of the Securities. If so instructed by you, UAM shall also be entitled to place any redemption monies or other monies deposited by you with UAM in the Discretionary Account be held on trust on your behalf. In acting as your custodian, UAM’s sole duty shall be to act as bare custodian in respect of the Securities and cash and to take such care of such Securities and cash as it would in respect of similar properties or assets belonging to UAM. Without prejudice to the preceding, UAM shall be under no responsibility or obligation to take any action or notify you in respect of any Security and cash unless otherwise instructed by you. UAM shall have no responsibility or duty to you to investigate, participate in or take any action whatsoever concerning proxies received, attendance at meetings and voting therein. 12.4 UAM will claim all amounts in respect of interest or dividends pertaining to your Securities held in custody which are known to UAM to be payable. Such amounts shall be paid to you as and when they are actually received by UAM and UAM is not responsible for claiming any other entitlement or benefit that you may have. 12.5 UAM is hereby irrevocably authorized by you to appoint a custodian for any period of time to hold (1) of your monies and/or (2) any and/or all of the Securities subscribed for or purchased on your behalf and for purposes as authorized by you and thus the Securities will be registered under the Custodian’s name. As long as UAM exercises good faith and uses reasonable care in the selection and continued appointment of the custodian, UAM shall have no responsibility for or obligation in respect of the performance by the custodian of any of the duties delegated to it by UAM in relation to the relevant Accounts or any Security held by the custodian on your behalf. Any action that may be taken by you to enforce your rights, in relation to the investments held under the custodian’s name, shall be directed at the custodian. UAM shall not be liable for any loss suffered by you arising from the insolvency of the custodian or any act or omission of the custodian. 12.6 You agree and acknowledges that Securities received or held outside Malaysia are subject to laws and/or regulations of the foreign jurisdiction and may not be subject to the same level of protection as that conferred on your assets received or held in Malaysia. 12.7 Where custody services are provided to you either by UAM or the appointed custodian, you shall pay to UAM or the custodian such fees and other costs, charges and expenses as may be imposed by UAM or the custodian in their sole and absolute discretion from time to time in respect of these Services, and hereby authorizes UAM to debit the relevant Accounts for all such fees, costs, charges and expenses. You acknowledge and consent to the fact that any Securities and cash belonging to you held with the custodian or UAM may be held with Securities and cash held for other Investors of the custodian or UAM on an aggregate basis (where not prohibited by Applicable Law). You understand that Securities and cash held on an aggregate basis may not be specifically identifiable by separate certificates, other physical documents or equivalent electronic records and that you shall not have any right to any specific Security or cash held by UAM or the custodian but will be entitled, subject to the provisions in these terms and conditions, to delivery by UAM or the custodian of Securities of the same class, denomination and nominal amount and which rank pari passu with those accepted and held by UAM or the custodian for you. UAM shall keep and maintain records of the respective Investors’ interest in any Securities and cash which have been held on an aggregate basis. This Clause 12.7 is without prejudice to the holding of Securities by UAM as bare custodian. 12.8 UAM may engage or appoint any person (who is not related to UAM) to carry out any order or to exercise any authority granted to UAM by you whether under these Investment Terms or these Terms. In making such engagement or appointment, UAM shall not be liable to you for any loss suffered or incurred by you as a result of any act or omission of such person. 12.9 Your relationship with UAM, the operation of the relevant Accounts and the implementation of all Orders shall be subject at all times to the Applicable Laws. UAM may take or refrain from taking any action whatsoever (including but not limited to refusing to implement any Orders), and you shall do all things required by UAM, in order to procure or ensure compliance with Applicable Laws. 12.10 You hereby agree to ratify and confirm all Transactions and all acts and things done or caused to be done or effected by UAM and/or the custodian on your behalf in relation to the relevant Account or the Securities held on your behalf and agree that such Transactions, acts and/or things done shall also be governed by these Investment Terms and these Terms. 12.11 You hereby irrevocably appoint UAM, as your attorney for each and all of these terms and conditions and authorizes UAM to sign and execute all documents and perform all acts in the name and on your behalf in connection therewith, whether in respect of any Transaction relating to the relevant Accounts or these Investment Terms or these Terms (including but not limited to the protection or preservation of any of UAM’s rights and remedies hereunder, the payment of all monies due and owing to UAM by you and as may be required under the laws of any jurisdiction for the exemption from any tax or duty in relation to the transfer and/or delivery of a Security) or in respect of anything required to give effect and/or substance thereto. For the avoidance of doubt, nothing in this Clause shall impose any obligation on UAM to take any action or exercise any rights as your attorney and UAM shall at all times have the absolute discretion in determining whether or not to exercise any of its powers as your attorney hereunder. 12.12 You agree that all monies (including any monies or cash in the relevant Accounts and/or any Securities and cash held on an aggregate basis as maintained with UAM or the custodian) and/or Securities shall be subject to a general lien in favour of UAM 

for the discharge of all or any of your indebtedness and other obligations to UAM. You shall not be entitled to withdraw any monies or withdraw or dispose of such Securities held by UAM pending the repayment or satisfaction in full to UAM of any of your indebtedness or obligation to UAM. For the avoidance of doubt, erroneous payments or wrongful credit (as evidenced by the records of UAM) made by UAM to you will immediately constitute a debt owing to UAM by you. 12.13 UAM shall be entitled, without notice to you, to set-off any debts owing by you against any amounts due to you whether the debts are actual or contingent and irrespective of any differences in currency. UAM shall be entitled to effect such currency conversions and at such exchange as UAM may in it sole and absolute discretion determine for the purposes of effecting such set- off. 12.14 You acknowledge that as a general rule, your excess monies (unless refunded to you), will be co-mingled with excess monies from other Investors of UAM in an aggregate trust account and that administratively, it would not be practical or feasible and is economically counter-productive to attempt to allocate the respective interest entitlement (if the trust account is interest-bearing) on an individual basis in view of the constant fluctuations in the value of the collective monies in such trust account. You agree to waive and relinquish in favour of UAM any and all entitlements to interest accruing to your share of monies in such trust account. you will not hold UAM liable for any wilful action or omission, default, fraud or negligence arising therefrom the conduct of UAM. 12.15 If any monies due from UAM to you remain unclaimed by you two (2) months from the date on which it become payable, UAM shall surrender such unclaimed amount to the relevant authority in accordance with the provisions of the Applicable Laws. You thereafter shall have no right to claim such monies from UAM and is deemed to have waived all rights in relation thereto vis-à-vis UAM. 12.16 Whenever you receive any statements of account, contract notes (if applicable), confirmations or notifications in respect of any Order or any document provided in relation to the relevant Accounts from UAM, you agree that it will inform UAM of any mistakes or omission or disagreements within seven (7) days upon receipt of the same. If you fail to do so, you are deemed to have agreed to the contents in such documents and will no longer have the right to dispute the accuracy of the content of the relevant documents. Accordingly, UAM has the right to treat your silence as your representation that the document is accurate. Nothing in this Clause shall prevent UAM from unilaterally amending any such document for any inaccuracy if it detects. 12.17 Any instructions (oral or otherwise) purported to be given by any person other than you, need not be acted on by UAM or the custodian but UAM and the custodian is authorized to act on any and all such instructions which UAM or the custodian believes in good faith, or has reason to believe, is from you as soon as such instructions have been received by UAM or the custodian without requiring written confirmation thereof. UAM and the custodian shall not be liable for any loss incurred by you as a result of UAM or the custodian so acting. 12.18 UAM may buy, hold and deal in any Securities on its own account notwithstanding that such Securities or similar Securities may be held by or for your relevant Account. 

13 Financial Advisory Services. 13.1 If you at any time requests and apply for financial advisory services (“Advisory Services”) to be provided by the UAM and is accepted by UAM to provide such Advisory Services to you, you shall be subject to the terms and conditions under this Clause 13. 13.2 You acknowledge that in order for the Advisory Services to make a suitable recommendation, you would need to provide UAM with sufficient information such as investment objective, time horizon, financial situation and needs. Such aforesaid information would form the underlying assumptions that the UAM would consider when formulating its recommendations to you. You hereby understand that where information is insufficient, incomplete or inaccurate, this may affect the suitability of the recommendation to be made by UAM. 13.3 You must reserve or make a booking in advance, with UAM, for the provision of the Advisory Services. The Advisory Services will be conducted by the UAM’s agent either via face-to-face meetings, telephone, electronic mail or such other means as may be agreed between UAM and you. 13.4 Prior to providing the Advisory Services, UAM will conduct the fact-find procedures to gather and assess your personal background information which include but is not limited to your financial objective, financial background and risk tolerance. Such fact-find findings may be recorded in any prescribed form dependable on the case-to-case basis. 13.5 In providing the Advisory Services, UAM’s agents shall endeavour to ensure that any recommendations or advice on the investment onto the Financial Products and Services made to you are suitable and appropriate in light of your personal circumstances and financial needs. UAM shall explain to you on the underlying rationale and risks associated with the investment being recommended and in the event that there is a mismatch between the recommended Financial Products and/or the Services with the Investors’ financial objective, UAM may, but not compulsory, notify the Investors of such mismatch and provide the necessary warnings to you. 13.6 UAM’s agents shall provide you with the regulatory required Financial Products and Services related documents, including but not limited to the Investment Terms and the Terms, offering document, key fact statement and factsheet of the ROI either via hard copy or electronically. 13.7 You are acknowledged required to accept the risks as per stipulated in Clause 14 and UAM and/or UAM’s agent shall hold not responsibilities and/or liability towards the presentations, either verbally or in writing, to you including without limitation the documents as provided either via hard copy or electronically. 13.8 There is no additional fees payable by you to UAM for the provision of the Advisory Services. However, UAM may, in its sole and absolute discretion, impose such fees from time to time with respect to the Advisory Services provided by UAM’s agents give prior verbal notice of the relevant fees and charges by spoken directly to you or other means as may be decided by UAM. Such fees shall be paid in advance before any Advisory Services being carried out by UAM’s agent. 

14 Investment Risks. 14.1 You acknowledge that investments in any forms are subject to investment risks and market risks, including possible loss of the principal amount invested. You represent and warrant that you understands and is fully aware of the risks involved in investing in any Financial Products and/or Services or in any other Securities. 14.2 In relation to investments into the Managed Portfolio and/or any other portfolios, you acknowledge that you have read or will obtain from either UAM or the relevant Manager in particular portfolio or investment product up-to-date versions of the prospectuses or any materials supplied by the relevant Manager or investment products that might exist on the date of the Transaction and the date of the Investment by you to UAM and/or any other appointed Merchants vide the UAM Platform to do so. You acknowledge and agree that UAM shall bear no liability or responsibility whatsoever to you for any error, misstatement or omission in any prospectus or report or any other material prepared by or issued by UAM and/or any Merchants and/or Manager of a particular portfolio or investment product or wilful action or omission, default, fraud or negligence by the relevant parties as mentioned. UAM undertakes no liability with regard to the performance of the obligations represented by the any Merchants and/or Manager of a particular portfolio. you acknowledge that UAM is providing the platform to facilitate you to invest in any portfolios and/or the Securities from such Merchants and/or Manager of a particular portfolio and does not act as agent on behalf of the relevant parties. 14.3 UAM accepts no responsibility and will bear no liability to you for giving any recommendation or advice vide the Advisory Services to you as to whether to invest or not to invest in any Managed Portfolios and/or any other Security, or in connection with the performance of any Security. You acknowledge the desirability and importance of seeking independent financial or professional advice with respect to any dealings or investments in Securities or investment opportunities. You acknowledge that any dealings or investments under the relevant Account in any such Security is solely and exclusively made by you based on your own judgment and after your own independent appraisal and investigation into the risks associated with such dealings or investments have been made. 14.4 You should be aware that if you redeem the Security before the maturity date (if applicable), you may not receive the benefit of the capital protection, the capital guarantee or the additional minimum return (if applicable) subject to the Clause 8.6. 14.5 In addition to the above, the acknowledgment and acceptance by you of the Risk Disclosure Statement Relating to Securities set out in Schedule 1 shall be a condition precedent to UAM’s and/or the appointed Merchant’s performance of its obligations in relation to the relevant Accounts. 

15 Non-Disclosure of Confidential Information. 15.1 Neither of you shall divulge to any person (other than those whose province it is to know it or with proper authority) or use for any purpose any of the trade secrets or confidential information or any financial or trading information 



relating to UAM or the other Investors which it acquires as a result of entering these Investment Terms or the Terms. You shall endeavour to prevent its agents, subordinates, employees, representatives from doing anything which, if done by you, would be a breach of these Investment Terms and/or the Terms herein. This restriction shall continue to apply after the expiration or termination of these Investment Terms and/or the Terms without limit in point of time but shall cease to apply to secrets or information which comes into the public domain through no fault of you concerned. 15.2 On termination of these Investment Terms and/or the Terms, you shall (and shall use all reasonable endeavours to procure that its connected person, subsidiaries and its officers and employees and those of its subsidiaries) shall :- (a) return to the UAM all documents and materials (and any copies) containing, reflecting, incorporating or based on the UAM’s confidential information in respect to the investment as stipulated herein; and (b) erase all the UAM’s confidential information from computer and communications systems and Enable Device used by it, including such systems and data storage services provided by third parties (to the extent technically practicable). 


16 General Exclusion and Limitation of Liability. 16.1 In addition and without prejudice to any other right or remedy which may be available (whether under these Terms or under Applicable Laws), and in the absence of fraud on the part of UAM and/or UAM’s personnels or agents, neither UAM nor the appointed custodian nor its personnel shall be liable to you in any respect for any loss suffered by you, including but not limited to any loss arising out of any of the following :- (a) any reliance by you on any information and/or reports which are incomplete, inaccurate, corrupted, untrue or out-of-date, notwithstanding that such information and/or reports may or may not have been customized for the your use, where such information and/or reports have been prepared, compiled or produced by any Merchant and/or Manager of particular portfolio, received by UAM in good faith and forwarded to you by UAM either made available through verbally or electronic vide the Advisory Services; (b) any loss or unauthorized use of the Advisory Services or delay in the transmission or wrongful interception of any Order or contract through any equipment or system, including any equipment or system owned and/or operated by or on behalf of UAM; (c) any delay, fault, failure or loss of access to or unavailability of the electronic Services for whatever reason; (d) any non-payment by any Merchant and/or Manager of particular portfolio; (e) any delay, failure or omission in the execution of your Orders due to any reason, circumstances, acts or Force Majeure Events beyond the control of UAM and/or any other appointed Merchants or where such Orders are ambiguous, contradictory or conflicting; (f) the manner in which the custodian holds the Securities or deals with monies received or intended to be received in connection therewith; (g) the performance or non-performance of UAM hereunder; (h) any corporate actions which you participate in or which you are unable to participate in; (i) any act, omission or insolvency of any entity providing central depository, clearing and/or settlement facilities; (j) any liability for tax or similar payment or withholding in connection with any Security; and (k) UAM suspending or terminating the operations of any or all of your Accounts and/or Services under the terms herein. 16.2 For the avoidance of doubt and without prejudice to the generality of the foregoing, UAM shall not in any event be liable to you for any direct, special, indirect or consequential loss, or for punitive damages. 

17 Term And Termination. 17.1 Notwithstanding Clause 17 herein, UAM shall be entitled to terminate or suspend the relevant Accounts, immediately and without notice to you, on the happening of any of the following events :- (a) the expiry of the term as stipulated herein Clause 8; or (b) the relevant Accounts that have no activity for the past two (2) years; or (c) the relevant Account that has been deemed to be dormant based on a set of criteria that UAM may determine from time to time; or (d) the relevant Account where the aggregate value of your holdings fall below a certain threshold, to be decided by UAM; or (e) you fail to comply with any of its obligations hereunder or under any relevant Accounts or Transaction; or (f) an encumbrancer takes possession or a receiver or receiver and manager is appointed over any of your the assets; or (g) you make any voluntary arrangement with its creditors or becomes subject to an administration order; or (h) you are the subject of a petition presented or an order made or a resolution passed to wind up you, to place you in bankruptcy, to place you in judicial management or to take any similar or analogous action in respect of you; or (i) any of your representations, warranties or statements hereunder with UAM pursuant to the relevant Accounts have not been complied with or is incorrect or incomplete in any respect; or (j) UAM forms the view, in good faith, that it should take action in order to preserve its rights or interests in relation to any relevant Accounts or under its relationship with you; or (k) as against you who have assigned your right to any third party in accordance with the provisions of these Investment Terms or the Terms, until you cease to be the Investors of UAM; or (l) when UAM and you have mutually consented to the termination. 17.2 Neither of the Investors shall be entitled to enforce any provision of these Investment Terms or these Terms, except in respect of accrued rights, once it has ceased beneficially to own any relevant Accounts of the UAM. 17.3 Despite the expiration or termination of these Investment Terms or these Terms, it shall continue to bind you to such extent and for so long as may be necessary to give effect to the rights and obligations embodied in it. 17.4 Termination of the Account shall in no way prejudice or affect any rights of UAM may have against you under these Investment Terms and/or these Terms under Applicable Laws. 

18 Consequences of Termination. 18.1 In the event that the relevant Accounts is terminated in accordance with Clause 17 above, UAM shall where necessarily redeem from any of the Securities and/or Cash in the relevant Accounts to satisfy any monies (including any outstanding fees, charges and expenses) due from you to UAM under these Investment Terms and/or these Terms in connection with the relevant Accounts or any Transaction effected thereunder. 18.2 On the happening of any of the events stipulated in Clause 17.1 above, and without prejudice to any other right of UAM hereunder or under Applicable Law, UAM may (but is not obliged to immediately or at any time thereafter, do any one or more of the following: - (a) suspend (indefinitely or otherwise) or terminate the relevant Account, or UAM’s relationship with you, accelerate any and all your liabilities to UAM so that you hall become immediately due and payable, and exercise its rights contain hereof the Investment Terms and/or these Terms; (b) apply any amounts of whatsoever nature standing to your credit against any amounts which you owe to UAM (of whatsoever nature and howsoever arising, including any contingent amounts), or generally to exercise UAM’s right of set-off against you; (c) exercise its right of sale in respect of any of your Securities or call upon any security which may have been issued to or in favour of UAM as security for the relevant Accounts; (d) demand any shortfall from you, hold any excess pending full settlement of your any other obligations, or pay any excess to you by way of transferring the amount in the manner as per stated in Clause 3.9 (d) of these Terms ; and/or (e) exercise such other authority and powers that may have been conferred upon UAM by these Investment Terms and/or these Terms. 18.3 In the event of any ROI distribution, unit split and rebalancing residuals which occurs after termination of the relevant Account, UAM will sell-off such residual units and credit the amount into your account thereafter in the manner as per stated in Clause 3.9 (d) of these Terms, if any. UAM will not in position to notify you in relation to the sell-off. 

19 Miscellaneous. 19.1 The rights of which UAM shall has under these Investment Terms and/or these Terms shall not be prejudiced or restricted by any indulgence or forbearance extended to another party. No waiver by any party in respect of a breach shall operate as a waiver in respect of any subsequent breach. 19.2 These Investment and/or these Terms, any relevant Accounts, and the relationship between the Investors and UAM, and the rights and obligations contemplated thereunder, shall be governed by and be construed in accordance with the laws of Malaysia. The Investors and UAM submit to the exclusive jurisdiction of MIARB. 19.3 If any of the provisions of these Investment Terms and/or these Terms is found by MIARB or other competent authority to be void or unenforceable, it shall be deemed to be deleted from these Investment Terms and/or these Terms and the remaining provisions shall continue to apply. The Investors shall negotiate in good faith in order to agree the terms of a mutually satisfactory provision to be substituted for the provision found to be void or unenforceable. 19.4 Any reference to a statutory provision shall include such provision as may from time to time be modified, amended or re-enacted so far as such modification, amendment or re-enactment applies or is capable of applying to any Transaction. 


SCHEDULE 1- RISK DISCLOSURE STATEMENT RELATING TO SECURITIES 

Investors who invest, trade or transact in Financial Products and/or Services through UAM should be aware of the following risks which may be involved in such trading :- 

1 Contractual Terms. 1.1 The terms as to price, term, expiration dates, restrictions or exercising an option and other terms material to the Transaction. 1.2 Any Terms describing risk factors, such as volatility, liquidity, etc. 1.3 The circumstances under which you may become obliged to make or take delivery of the underlying interest of the Transaction. 1.4 The legal risk surrounding the Transaction, including but not limited to the circumstances under which the transactions may be illegal, resulting in it being void and unenforceable. 

2 Market Forces. 2.1 The Transaction in investment will be linked to changes in the particular financial market or markets which the Transaction is linked, and you will be exposed to price, currency exchange, interest rate or other volatility in that market or markets. You may sustain substantial losses on the contract, trade, product or financial investment if the market conditions move against your positions. It is in your interest to fully understand the impact of market movements, in particular the extent of profit/loss you would be exposed to when there is an upward or downward movement in the relevant rates, and the extent of loss if you have to liquidate a position of your Securities if market conditions move against you. Your position may be liquidated at a loss, and you will be liable for any resulting deficit in your Discretionary Account with UAM. 2.2 The price and value of any investment in Financial Products and/or Services and/or any Securities, the ROI, if any, from them can fluctuate and may fall against your interest. Your ROI may experience downward movements and may under some circumstance even become flat value. An inherent risk of investment is that losses may be incurred, rather than profits made, as a result of investment on Financial Products and/or Services. Any representation of part performance is not necessarily a guide to future performance. 2.3 Under certain market conditions you may find it difficult or impossible to liquidate a position, to assess a fair price or assess risk exposure. This can happen, for example, where the market for the Transaction is illiquid or where there is a failure in electronic or telecommunications systems, and where there is occurrence of a Force Majeure Event (which shall include without limitation, any form of restriction, moratorium or suspension on trading imposed by an exchange, market or other authority regulating trading in the transactions). 2.4 Transactions on markets in other jurisdictions may expose you to additional risk. Such markets may be subject to regulation that may offer different or diminished your protection. Transactions related to emerging countries may carry high investment risks such as political risks, risks of economic instability, greater prevalence of illegitimate market practices and laws and regulations which afford inadequate protection and safeguards to you. You may be exposed to operational risks and other risks associated with the market infrastructure in that jurisdiction. The concept of beneficial ownership may not exist or be fully developed in the foreign jurisdiction and it is possible that its law will not recognize your beneficial ownership of the Securities held by a sub-custodian in that jurisdiction. 

3 Electronic Trading. 3.1 UAM’s trading facilities are supported by computer-based component systems for the order-routing, execution, matching, registration or clearing of trades. As with all facilities and computer systems, you will be exposed to risks associated with the systems including the failure of hardware and software, risks of any defect, deficiency or malfunction in, and /or any breakdown, disruption or failure of any telecommunications, computer or other electronic equipment or system associated with such electronic system, loss of data or information that may occur due to any cause whatsoever. The result of any system failure may be that your Order is either not executed according to instructions or is not executed at all. 3.2 You should also be aware that the internet is not a completely reliable transmission medium and there may be delayed in service provisions. 

4 Currency Risk. 4.1 The fluctuations in foreign currency rates have an impact on the profit/loss and the financial investment where the transaction is denominated or settled in a different currency from the currency where you carry on your ordinary business or keep your accounts. 

5 Credit Risk. 5.1 As UAM may not always be your contractual counterparty, your contractual counterparty or a other Merchants, will be liable to you under the transaction. Therefore, you should take into account all risks associated with such counterparty or other Merchants, including the counter party’s or other Merchant’s financial standing. 5.2 In the event of insolvency of any Merchants of a Security or the counterparty to a transaction, you may experience delay in liquidating your investment and may suffer losses, including a decline in the value of your investment. Furthermore, the insolvency of the relevant Merchants of a Security or the counterparty to a transaction may lead to positions being liquidated or closed out without your consent. 

6 Counterparty Risks. 6.1 You need to be aware of the identity of the contractual counterparty you are or may be matched with. Often, you will be purchasing an unsecured obligation of such counterparty and you should evaluate the comparative credit risk. 

7 Tax Risk. 7.1 You should understand the tax implications prior to entering into any transactions. Different transactions may have different tax implications. Therefore, you should consult your tax adviser to understand the relevant tax considerations. 

8 Non-Advisory Nature of Relationship. 8.1 You should note and accept that UAM relationship with you in relation to your Securities and Securities-related Transactions is purely as execution-only to you. In either case, while you are entitled to expect UAM or UAM’s personnel or agents to answer your queries, the obligation in so answering is only to be honest.
